Lending to a Tanzanian Company from Abroad: Registration, Withholding and the Repayment Pack

graph print: Lending to a Tanzanian Company from Abroad
Printed financial graphs: inbound loans need a recorded file, not a data-room PDF. Caption date: 10 September 2026. A photograph is not a filing.
Direct answer

Lending to a Tanzanian Company from Abroad? Money lent to a Mainland company from abroad is a foreign-exchange and tax file, not a WhatsApp. Bank of Tanzania rules on recorded foreign loans, TRA withholding on interest, and the commercial-bank evidence pack sit on the same repayment. A shareholders’ resolution without the live registration path is how interest cannot leave. Confirm bot.go.tz and tra.go.tz. This page publishes no registration percentage, no treaty rate, and no Zatra invoice. Thin-capitalisation and transfer-pricing sit beside the loan, not instead of it.

This page is the inbound-loan operating file: how money lent to a Mainland company from abroad becomes a repayable, witholdable, bankable instrument. It is not a dividend-repatriation essay, not a thin-capitalisation calculator, and not a treaty-rate table.

As at 10 September 2026. Confirm bot.go.tz and tra.go.tz. This page publishes no registration percentage, no treaty rate, no thin-cap ratio, and no bank tariff. A PDF ‘loan agreement’ in a data room is not the recorded facility.

Three desks, one repayment

The commercial contract says who lent what. Bank of Tanzania rules on recorded foreign loans (whatever the live circular currently names as the registration or reporting path) decide whether the bank will later sell the dollars to repay. TRA withholding on interest decides whether the net leaving matches the lender’s model. The commercial bank’s evidence pack decides whether the SWIFT goes this week. Missing any desk is how interest ‘cannot leave’ while the board thinks the loan is performing.

Shareholder loans and third-party loans can sit in the same evidence family and still fail different tests: related-party transfer pricing on the rate, thin-capitalisation on how much interest is deductible, and BOT on whether the principal was ever recorded as inbound capital or debt. Do not assume a shareholder current account is a foreign loan.

What ‘registration’ means on this page

Tanzania has, across years, required foreign loans to be recorded with the Bank of Tanzania or through authorised dealer banks on live forms. The form names, the thresholds and the percentage language in old blogs are exactly the obsolete-fee problem this site refuses to reprint. Confirm bot.go.tz and your authorised dealer’s current checklist the week the money moves, and again the week you first repay. This page will not freeze a percentage.

If the live rule still distinguishes recorded versus unrecorded debt, unrecorded debt is how repayment is delayed, not how you ‘stay flexible’. Ask the dealer bank in writing whether this facility is on their books as a foreign loan.

Withholding, treaties and the net the lender modelled

A Luxembourg or Mauritian lender that modelled a treaty rate without a tax residence certificate and without the live DTA in force is modelling a wish. See treaties orientation. Transfer-pricing on a 0% related-party rate is a separate fight. See TP orientation.

Banks will ask for the inbound evidence

Repayment is an outward remittance. The bank will want the loan agreement, the board authorities, evidence that the principal actually arrived, the BOT/dealer recording if the live rule requires it, the TRA withholding evidence, and the invoice or interest notice. A loan that was ‘set off’ against unpaid invoices without cash arriving is often not a loan the bank will repay in USD. Build the inward pack on day one. See source-of-funds for the equity sibling.

Sequence

  1. Decide debt versus equity on purpose. A labelled ‘loan’ that will never be repaid is equity in a bank’s eyes and still interest in TRA’s, which is the worst of both.
  2. Draft the instrument with interest, term, governing law you can actually perform, and the Tanzanian company’s board authority.
  3. Ask the authorised dealer, in writing, what BOT recording the live circular wants before the SWIFT inbound.
  4. Land the principal on the company’s account with a reference the later repayment pack can find.
  5. Withhold on interest when the live ITA says so. File what TRA currently wants. Do not net in a WhatsApp.
  6. Repay on the same names that appear on BRELA, the TIN, the loan and the inbound SWIFT.

Where this file stalls

Worked path: the parent that ‘already sent the money’

A parent in Dubai says the loan was paid by settling a supplier on the subsidiary’s behalf. No SWIFT landed on the Tanzanian account. The board minutes call it a USD 2 million facility. Two years later the parent wants repayment in dollars. The authorised dealer asks for the inbound evidence. There is none: only a supplier’s thank-you. That is not a recorded foreign loan on this page’s terms. Either document a different instrument the live law actually recognises, with an advocate, or treat the history as equity and use the dividend pack: which is a different Insights file. Do not force a repayment SWIFT on a story the bank cannot audit.

A cleaner path: the parent agrees the facility, the dealer confirms the live BOT recording path in writing, the principal lands with a reference, interest is withheld when TRA says so, and repayment uses the same names. Slow. Bankable.

Equity labelled as debt, and why the board minute matters

If the ‘loan’ has no interest, no term, and no intention to repay, the bank may already see equity. TRA may still ask whether something that looks like interest should have been withheld. Directors who sign both stories, ‘it is a loan for the parent’ and ‘it is capital for the bank’, are how files split. Minute one characterisation, land cash that matches it, and file the desk that characterisation requires.

Documents this file usually needs

Signed loan; board and (if needed) shareholder authorities; lender identity papers; inbound SWIFT/MT103; authorised-dealer correspondence on BOT recording; interest notices; TRA withholding evidence; BRELA extract and TIN that match the borrower name; any DTA residence certificate you actually hold. If the lender is related, the TP file for the rate.

What this page will never publish

A BOT registration percentage. A treaty rate grid. A thin-capitalisation ratio. A bank tariff. Confirm bot.go.tz, tra.go.tz and the dealer the week money moves.

Failure modes the officer already knows

Journal-only loans. Repaying a facility the dealer never recorded. Labelling interest as management fees. Using a dividend pack for a loan repayment. Mixing Zatra’s fee into a WHT line.

Operator calendar

Dealer/BOT recording sits before or with the inbound SWIFT, not after the first repayment bounced. WHT sits on each interest event the live law names. Treaty paperwork sits before you model the net, not after the lender complains.

What to put in the board minutes

Write principal, lender, rate, term, whether the dealer has confirmed the live BOT path, and that no repayment is instructed until the inbound evidence is on file. Write that no percentage or treaty rate is frozen in the minute.

What a declined pack usually looked like

A PDF agreement, no inbound SWIFT, and a bank asking for the BOT number. Rebuild the recording and the cash evidence. Do not relabel the payment as a dividend to ‘just get it out’.

As-at 10 September 2026: what this desk will not freeze

Percentages, treaty rates, form names, and any SLA. Print bot.go.tz and the dealer checklist the week of the inbound. If BOT reprints the foreign-loan circular, the reprint wins.

Cross-links without contradicting keepers

Dividends are the repatriation sibling, not this page. Thin-cap and TP sit beside. BOT FX rules sit beside. Locked TISEZA pages are not edited. GN 487A hedging is unchanged.

Frequently asked questions

Must every foreign loan be registered with BOT?

Confirm the live circular and your authorised dealer the week the money moves. This page will not freeze a percentage or a form name. Unrecorded debt is a common reason repayment stalls.

Is a shareholder current account a foreign loan?

Not automatically. If cash did not arrive as a recorded facility, the bank may not repay it as one. Equity and debt are different packs.

Who withholds on interest?

The Tanzanian payer, on live TRA rules, unless a live exception applies. Do not net in a WhatsApp. Treaty rates need proof.

Can we just pay management fees instead?

Relabelling interest is how you buy a TRA file. Management fees have their own WHT family. See the withholding orientation.

Does this cover Zanzibar borrowers?

The Union/non-Union tax split and Zanzibar financial regulation can differ. Confirm the Zanzibar desks. This page is Mainland-first.

Fees?

BOT, TRA and bank charges are not Zatra invoices. Professional fees are only on /pricing/.
