Thin Capitalisation in Tanzania: Interest Limitation, Not a WhatsApp Ratio

budget sheet: Thin Capitalisation and Interest Limitation in Tanzania
A budget sheet: parent-loan interest is a limitation file, not a slogan. Caption date: 10 September 2026. A photograph is not a filing.
Direct answer

Thin Capitalisation in Tanzania? Tanzania limits the deduction of interest in some highly geared related-party (and, depending on the live rule, other) financing structures under the Income Tax Act framework. The test (historically discussed as a debt-to-equity ratio, and in some years as an earnings-based limitation) is a live statute question. This page publishes no ratio, no percentage, and no invented section. A documented shareholder loan still needs the limitation file, a withholding file, and a bank pack on the way out. Confirm the live Income Tax Act as amended and tra.go.tz before you model a tax-deductible parent coupon.

This page is the interest-limitation operating file: when a Tanzanian company’s related-party (and, depending on the live rule, other) interest deduction is limited. It is not a transfer-pricing method picker and not a WHT table.

As at 10 September 2026. Confirm the live Income Tax Act as amended. This page publishes no debt-to-equity ratio, no EBITDA percentage, and no invented section. Those rows have moved in practitioner memory more than once. A wrong ratio here would be worse than silence.

Why the limitation exists, in operator language

Groups can fund a Tanzanian company almost entirely with related-party debt, deduct the interest, and strip profit. The Act limits that deduction. The policy is old. The mechanical test is not a corridor rumour. Read the live section. If your model still says ‘70:30 forever’, rebuild the model after someone has opened the Act this month.

Equity is slower and more honest for a project that will not repay. Debt is fine when it is real, priced, and within the live limitation. Mixing them (equity for TISEZA, debt for the accounts) is a source-of-funds contradiction as well as a tax one.

Three files on one loan

Interest limitationMay this company deduct this coupon this year? This page
Withholding / forexMay this coupon leave, and with which TRA paper?WHT and BOT pages

Passing one is not passing three. A beautiful TP report with a disallowed coupon is still a P&L surprise. A deductible coupon with no WHT is a remittance stall.

What must already exist for the loan to be a loan

Agreement, drawdown into the company’s account, a repayment schedule a stranger could understand, and board authorities. A founder WhatsApp ‘we will treat it as a loan’ is not a loan. Year-two conversion from unexplained cash into a loan is a reconstruction. Take advice. Do not SWIFT a ‘repayment’ of a loan the inward file never showed.

Guarantees, back-to-back banks, and deemed interest rules, where the live Act has them, are overlays. Confirm. This page will not invent a deemed-interest rate.

Banks and thin cap

Commercial banks care about documentary AML and BOT standards, not about your tax EBITDA. They will still ask whether the outward is interest on a real loan. Keep the inward SWIFT with the coupon instruction. The two sides should match without a novel.

Local banks that lend to the company are usually a different story from a parent mezzanine. Third-party interest can still meet limitation if the live rule is earnings-based and wide. Confirm the live scope. Do not assume ‘only related parties’ if the Act moved.

Sequence

  1. Decide equity versus debt on purpose, in minutes, before the money moves.
  2. Document the inward: source-of-funds pack.
  3. Price the coupon as a TP file.
  4. Model the live limitation after opening this year’s Act, not last year’s slide.
  5. Withhold and instruct the bank on the coupon that is actually paid.

Where this file stalls

Worked path: year-one parent holdco loan

A foreign parent remits USD into the Tanzanian company’s account labelled ‘shareholder loan’, with an agreement, a drawdown notice, and an allotment that does not pretend the same dollars are share capital. TISEZA, if used, is told the truth about debt versus equity. Accounts show a loan. Year-two coupon is modelled only after someone reads the live limitation. WHT is diaried. That is the boring path.

The stall path: the same dollars are equity in the TISEZA form, a loan in the management accounts, and a dividend in the parent’s board deck. Three stories. One SWIFT. TRA and the bank will pick the story that hurts.

GN 487A

Irrelevant to the ratio. Relevant if the company should not exist in that activity. Screen the activity first.

Currency of this file

Interest-limitation mechanics have been rewritten more than once. This page is orientation as at 10 September 2026. The live Act wins. If this page ever appears to state a ratio, treat that as an error and ignore it.

Documents for a loan that is actually a loan

Signed facility; drawdown notice; SWIFT into the company’s account; board authorities; a repayment schedule; and the accounts that will show the liability. If TISEZA was told these dollars were equity, put that contradiction on the table before a coupon is modelled. Do not wait for the assessment.

Interest workings that apply the live limitation should live in the tax file, not only in a spreadsheet named ‘group_final_v7’. Name the Act you used and the date you opened it.

What this page will never publish

A debt-to-equity ratio. An EBITDA cap. A deemed-interest rate. A section number guessed from a 2014 textbook. If your model still prints 70:30 as a law of nature, rebuild it.

Failure modes

Accruing coupon to a parent for three years with no WHT and no cash, then ‘capitalising’ it into shares without a Companies Act process. Calling the same dollars equity for immigration and debt for TRA. Third-party back-to-backs that exist only to look unrelated. Confirm the live scope of the limitation. Do not assume you are cleverer than the Act.

As-at 10 September 2026: diary discipline

Open the Income Tax Act as amended the month you model a parent coupon. Date the PDF. If this page ever appears to state a ratio, ignore that sentence.

Mandate-holders this file does not replace

The Income Tax Act limitation is this file. Transfer pricing prices the coupon. Withholding taxes it. BOT and the commercial bank document the outward. TISEZA, if used, records whether the project was equity or debt. Four desks, one loan. Lying to one of them is how the other three become interesting.

Immigration sometimes asks whether ‘investment capital’ arrived. If you told Immigration it was equity and told TRA it was debt, both files are now a problem. Pick one story before the first SWIFT.

Zanzibar payers still meet Union income tax on a parent coupon. Do not assume an island holiday covers interest limitation. Confirm the live Act. Confirm ZRA only for the taxes ZRA actually owns.

What to put in the board minutes

Write: we are lending, not subscribing; the amount; the account that will receive it; and that tax will apply the live limitation in the year of deduction. If you cannot write that sentence, you are not ready to draw down.

When a coupon is paid, minute the WHT treatment. When a coupon is disallowed, minute whether it is converted, waived, or left as a dead receivable. Silence is how year-four accounts become fiction.

What a declined coupon pack usually looked like

Unsigned facility, dollars that TISEZA was told were equity, and a SWIFT labelled ‘interest’ to a person who is not the lender on the agreement. Three stories. One outflow. Rebuild the inward file before you instruct the coupon. If the limitation disallows a slice, do not relabel that slice as a dividend without dividend papers. Confirm the live Act the morning you model. This page still prints no ratio.

Operator calendar for a parent loan

Week of term sheet: decide equity or debt in minutes. Week of SWIFT: source-of-funds pack and the account that actually receives the money. Year of first accounts: show the liability. Year of first coupon: open the live Act, apply the limitation, withhold, instruct the bank. If any of those weeks is skipped, the coupon is a reconstruction. This page still prints no ratio. Confirm tra.go.tz the morning you accrue.

Frequently asked questions

What is the current Tanzania thin-cap ratio?

This page will not print one. Open the live Income Tax Act as amended and confirm with TRA or a licensed tax practitioner.

Does a documented loan automatically get a deduction?

No. TP, limitation and WHT are separate.

Can I accrue interest without paying it?

Accounting and tax can diverge. Confirm the live deduction and WHT timing rules. Do not invent them.

Are third-party bank loans caught?

Scope is a live-rule question. Confirm the Act. Do not assume either way from a 2018 note.

Does TISEZA registered capital change the test?

TISEZA records a project. The Act tests the accounts. Do not mix the stories.
