MOU vs Binding Contract in Tanzania: When an MOU Creates Obligations

A negotiation over papers at a table
Which half of a heads of terms a Tanzanian court would actually enforce. Caption date: 14 September 2026. A cover is not a filing.
Direct answer

When does a memorandum of understanding create obligations in Tanzania? The heading on the first page decides nothing. Section 10 of the Law of Contract Act Cap. 345 asks whether competent parties freely agreed, for lawful consideration and a lawful object, on terms certain enough to enforce. A document labelled non-binding routinely carries clauses that pass that test on their own: exclusivity, confidentiality, a fee falling due on signature, the forum for a dispute. A court reads words and conduct together, so a deposit paid or a site occupied can outrun the label. Say in the document itself which clauses bind.

This page is the MOU operating file: which parts of a letter of intent, heads of terms or memorandum of understanding carry obligations here, and which parts are intention only. It is not a precedent to copy, and not an opinion on the paper already on your desk.

As at 14 September 2026. The file stands on Cap. 345, the Companies Act Cap. 212 and the reception provision in the Judicature and Application of Laws Act Cap. 358; confirm the tax treatment of any money that moves on tra.go.tz.

What decides whether a document binds

Cap. 345 defines a contract as an agreement enforceable by law, and section 10 sets the gate: free consent, competent parties, lawful consideration, a lawful object, nothing declaring it void. It never asks what the paper is called. “Memorandum of Understanding” and “Agreement” meet that test clause by clause.

Two further requirements arrive through Cap. 358, which received the common law and equity in force in England on 22 July 1920: intention to create legal relations, and certainty. A court enforces a term it can identify and will not write one the parties left open. Most disputes turn on certainty.

Both statutes are Mainland law. A transaction performed in Zanzibar is read under the islands’ own legislation in their courts; the company there registers at BPRA rather than BRELA, non-Union taxes belong to ZRA, and ZIPA approves investment. Anything spanning the Union needs both positions checked.

Restrictions that sit above the document

Screen the subject matter before drafting. GN No. 487A of 2025 lists activities reserved for citizens: no agreement hands a foreign party an interest in one. A “local partner” holding shares for somebody else is a nominee arrangement, which the registry, the bank and the licensing desk each test.

Land closes the next gate. A company with non-citizen shareholding holds land for investment as a derivative right routed through the Tanzania Investment Centre under the Land Act Cap. 113, and disposing of a granted right of occupancy needs approval before registration under the Land Registration Act Cap. 334. A deposit paid ahead of that sits in front of an open question.

Where the subject is minerals, gas or other natural wealth, the Natural Wealth and Resources (Permanent Sovereignty) Act, 2017 sends disputes to bodies established in Tanzania and puts the arrangement before the National Assembly; a foreign seat has no future there. Licensed sectors test change of control separately, and the Fair Competition Act Cap. 285 may require notification to the Fair Competition Commission. Confirm the live threshold in the notification Order.

“Subject to contract” and what conduct does to it

The phrase does real work, but only while behaviour matches it. Performance defeats it: a plot occupied, equipment mobilised, invoices raised, exclusive supply accepted for months. Each is harder to explain away than a heading.

Under the Evidence Act Cap. 6, oral evidence contradicting terms already reduced to a document is shut out: protection for a careful drafter, punishment for a careless one. Conduct afterwards is a separate enquiry, and the correspondence around signature comes with it: emails confirming a price, minutes recording approval. The Electronic Transactions Act, 2015 recognises electronic records and signatures, so none of it sits outside the file.

The clauses that bind inside a non-binding MOU

ClauseBinds alone? What supplies or denies the testHow it goes wrong
Intent to form a joint ventureNoNothing certain; terms left for laterParties trade as though executed
Exclusivity for a stated windowYesBounded in time and scope, given for valueNo end date, no consideration
Confidentiality over disclosuresYesComplete without the main dealNo schedule of what was disclosed
Fee payable on signatureYesA present duty to pay a stated sumPaid before the land gate opens
Price “to be agreed later”NoNo court fixes a term the parties reservedReported as settled in lender papers
Governing law and dispute forumYesSurvives whatever the commercial clauses doForeign seat over natural wealth

Certainty can be supplied without agreeing a figure: a price fixed by formula, by a published index or by a named valuer is enforceable, because the machinery produces the term. Give each condition precedent a date.

Who may sign, and the company that does not yet exist

A signature binds a company only where Cap. 212, the articles and a board resolution put authority behind it. Take a registry extract dated close to signature, check the signatory appears on it, take a power of attorney where an agent acts, and use the common seal where required.

An unincorporated company cannot be a party to anything. Promoters sign these documents constantly, and the individual may carry the obligation personally until the registered entity adopts it by resolution. Adoption is neither automatic nor retrospective, and where land or a bank mandate follows, the desk wants the company on the paper. An officer signing at a ministry, meanwhile, issues no decision at all.

Money moving under a document that says it is not a contract

Once cash moves, the tax desks read substance. Where a payment is consideration for a taxable supply (exclusivity, an option, a service) value added tax at the 18% standard rate under the Value Added Tax Act Cap. 148 attaches, against a fiscal receipt. The sum received is turnover, bringing the 0.3% service levy on turnover under the Local Government Finance Act Cap. 290. Payments to a non-resident raise a withholding question; settle it before the transfer.

Stamp duty is separate. Under the Stamp Duty Act Cap. 189 a chargeable instrument must be stamped, and an unstamped one meets its difficulty the day a party produces it in evidence.

Currency matters too. Domestic pricing and settlement in foreign currency is restricted under the Bank of Tanzania Act as amended by the Finance Act 2024, so a Tanzanian-side fee quoted in dollars is a clause to settle with the bank beforehand.

Worked example: an exclusivity fee and a deal that never closed

Illustrative arithmetic, not a quotation. An investor signs heads of terms with a Tanzanian operator. The paper is headed non-binding, yet clause 6 grants ninety days’ exclusivity for TZS 120,000,000 payable on signature and clause 9 imposes confidentiality. Price is left for later.

Tax at 18% adds TZS 21,600,000, so TZS 141,600,000 leaves the account against a fiscal receipt. Within the window the investor spends TZS 45,000,000 on legal, survey and valuation work: TZS 186,600,000 committed in all.

On day sixty-two the operator signs with another buyer. The venture was never a contract: no price, no machinery, nothing enforceable. Clause 6 was. The claim is breach of exclusivity: the TZS 120,000,000 fee plus TZS 45,000,000 wasted, TZS 165,000,000 together, not the profits of a business never formed.

The operator’s side: that TZS 120,000,000 of turnover carries levy at 0.3%, TZS 360,000 to the council, due whether or not the fee is repaid. Time runs from the breach: six years for a suit founded on contract under the Law of Limitation Act Cap. 89, against twelve years for recovery of land.

The order the desks take it

  1. Decide what must bind before drafting: list the clause numbers that will survive, and write that list in as a binding-effect clause.
  2. Screen the subject matter: reserved activities, the land route, licence conditions, natural-wealth rules. A gate found late sends the file back to the start.
  3. Prove authority on both sides: current extract, board resolution, power of attorney, identification and TIN for each signatory.
  4. Set the term and the long-stop date: every condition dated, and an expiry for the document itself.
  5. Fix the tax treatment before money moves: invoice, receipt, withholding position and currency settled in advance.
  6. Stamp where chargeable: before anyone needs to rely on the instrument.
  7. Convert or close: execute the definitive agreement, or serve expiry and return what is returnable.

The papers this file carries

Certificate of incorporation and certified memorandum and articles for each corporate party; a BRELA extract, or BPRA for a Zanzibar company; the resolution authorising the signatory; passport or national identification and TIN for everyone signing, with residence-permit particulars for a non-citizen; a conditions-precedent schedule with dates; the disclosure schedule listing what confidentiality covers; invoice and fiscal receipt for any fee; evidence of stamping; and the certificate of title where a site is the subject.

Where these files stall

What has moved since the older precedent files

The Arbitration Act, 2020 replaced the previous arbitration statute and established the Tanzania Arbitration Centre; a clause still citing the repealed law needs rewriting. The Tanzania Investment Act, 2022 replaced the 1997 statute behind TIC certificates. GN No. 487A of 2025 restated which activities are closed to foreign participation.

Mandate-holders this file does not replace

An advocate of the High Court drafts the binding-effect clause, opines on enforceability and is the only hand that can appear for you. A notary public attests where an instrument calls for it. BRELA and BPRA hold the registers proving who could sign. TRA owns value added tax, stamp duty and withholding; ZRA takes the non-Union heads. TISEZA and ZIPA issue investment certificates, and the Commissioner responsible for lands approves dispositions. Disputes land in the Commercial Division of the High Court, or at the arbitral seat chosen.

Zatra Consultants Limited prepares the file, structures the sequence and coordinates those desks. It does not practise law, audit, or issue any approval, and no outcome is guaranteed.

Frequently asked questions

Is an MOU legally binding in Tanzania?

Partly, usually. Every clause is tested separately under section 10 of Cap. 345. Exclusivity, confidentiality, payment and dispute-forum provisions commonly bind even where the commercial core waits for a definitive agreement.

Does writing “non-binding” at the top protect me?

Only while your conduct matches the wording. Money handed over, ground taken possession of, or invoices raised under the arrangement all point to parties who treated it as operative.

Can an exclusivity clause be enforced by itself?

Yes, where bounded in time and scope and something was given for it. The remedy is usually damages covering the fee and wasted costs, rather than profit from a transaction that never happened.

Is a document signed by email or e-signature valid?

Electronic execution has statutory recognition here. A bank, registry or land office may still insist on a wet-ink original under seal, so check what the receiving desk accepts first.

Does an MOU with a ministry count as an approval?

No. It evidences cooperation between the signing bodies. Each incentive, licence, permit or land right issues only from the body that owns it, after its own application is assessed on merit.

Must an MOU be stamped?

If Cap. 189 makes it a chargeable instrument, yes. Leaving duty unpaid creates an admissibility problem the day the paper matters. Take the head of charge and current rate from the Schedule.

How long do I have to sue on a breach?

Contract claims carry six years under Cap. 89, counted from breach rather than signature. Anything touching recovery of land follows a longer item in the same Schedule, so classify the claim early.
