Certificate of Occupancy, Derivative Right or Sublease: Which Instrument You Hold

land survey: Certificate of Occupancy, Derivative Right or Sublease
A land survey on site: the register names the instrument, not the handshake. Caption date: 10 September 2026. A photograph is not a filing.
Direct answer

Certificate of Occupancy, Derivative Right or Sublease? Tanzania’s land file is an instrument question. A granted right of occupancy, evidenced by a certificate of occupancy, is the primary statutory right to occupy general land and is typically associated with citizens or other qualifying holders. A derivative right is a right carved out of that head title, the route TISEZA and Lands describe for typical foreign investment use, and it cannot exceed the head right. A sublease is a contractual interest under a lease; it is not a granted occupancy. Village land is a different statutory category and generally needs conversion to general land before either occupancy or a derivative right can sit on it. Confirm the live extract at the Ministry responsible for Lands.

This page is the instrument file for Mainland land: granted right of occupancy, derivative right, and sublease. It is not a village-land conversion manual, that keeper already exists, and not a TISEZA fee schedule.

As at 10 September 2026. Confirm the live extract at the Ministry responsible for Lands and, where investment land is in play, TISEZA’s land pages. This page publishes no land-rent figure and no stamp-duty row.

Three instruments, not one ‘title’

InstrumentWhat it isTypical holder in investment files
Granted right of occupancy (certificate of occupancy)Primary statutory right to occupy general land under the Land Act frameworkCitizens or other qualifying holders. Confirm live
Derivative rightA right derived from a granted occupancy; cannot exceed the head rightTypical foreign investment use as TISEZA/Lands describe
Sublease / leaseContractual interest under a head lease or occupancyOperators who should not pretend they hold the head title

A village chairman’s letter is none of the three. Customary rights of occupancy on village land are a Village Land Act category and generally need conversion to general land before an investment instrument can sit on the parcel. That conversion is the keeper page. Do not skip it because a broker said the village ‘agreed’.

Foreign investors and granted occupancy

Practitioner material and TISEZA’s own land-acquisition orientation describe granted rights of occupancy as associated with citizens or qualifying holders, and derivative rights as the usual investment route for non-citizens. This page will not invent a percentage, a term of years, or a section number. Confirm the live Land Act practice and the TISEZA land page. A company with a Tanzanian certificate of incorporation is not, by that fact alone, a citizen.

A derivative right cannot exceed the head right

If the head granted occupancy has twelve years left, a derivative right cannot honestly be sold as a thirty-year industrial park. If the head title is village land that was never converted, there is no lawful head right to derive from for investment use as the keeper page describes. If the head title is already charged, leased, or under caveat, the derivative file inherits that problem. Read the extract. Do not read the brochure.

Sublease is not a certificate of occupancy

Factory and hotel operators often sit on a sublease from a landlord who holds the occupancy or the derivative right. That can be a workable operating interest. It is not a granted occupancy in the tenant’s name. Banks, TISEZA and municipal building desks will ask which instrument you hold. Answer with the extract, not with ‘we have land’.

TISEZA land facilitation is a process, not a title

TISEZA may facilitate investment land, including derivative-right processes, after the land can lawfully receive that instrument. Facilitation is not automatic conversion of village land and not a substitute for the Commissioner for Lands. GN No. 466’s land-related fee rows, where they apply inside a zone, sit on the TISEZA fees page. They are not Lands title fees. Confirm live.

Sequence

  1. Identify the parcel: survey, neighbours, and the live extract, not a WhatsApp pin.
  2. Classify the land: village, general, reserved. Conversion first if village land is in play.
  3. Name the instrument you need: occupancy, derivative right, or a lease that matches the operation.
  4. Check the head right: term, charges, caveats, use.
  5. File at Lands / TISEZA as the live process requires: not at BRELA.
  6. Only then design the factory: building permits sit on a land story that exists.

Where this file stalls

Currency of this file

Land regulations, TISEZA land pages and portal practice move. This page is the instrument split as at 10 September 2026. The extract wins.

Worked path: industrial plot vs shop lease vs village allocation

An investor shown a surveyed plot in an industrial park should ask: is the head right a granted occupancy, to whom, for how long, charged to whom, and is the offered interest a derivative right or a sublease? TISEZA facilitation, if any, should be visible as a process with a file number, not as a smile. Read the extract before the deposit.

An investor shown a shop in a mall is usually looking at a sublease. That can be enough to trade if the activity is open and the municipal licence follows. It is not a certificate of occupancy. Do not tell the bank you ‘own the land’.

An investor shown a village allocation for a factory is looking at the keeper problem: village land is not investment title until conversion. Paying the village for ‘ten acres’ without conversion is how the surveyor’s paint becomes a dispute. Stop. Read the village-land page. Then come back to this instrument page.

Charges, caveats and searches

A derivative right sitting under an undisclosed mortgage is how lenders surprise you at drawdown. Official searches exist so you do not rely on the seller’s PDF. Confirm the live Lands search process. This page does not quote a search fee.

Use clauses

Occupancy and derivative instruments carry use. A residential occupancy is not a factory. Change of use is a separate file. If the extract says residential and the business plan says kiln, you do not have a land file yet.

Documents the land file usually needs

Orientation: a current official search; a survey the Lands system will recognise; the seller’s or grantor’s instrument; tax-clearance stories Lands currently asks for on transfers; and corporate authorities if a company is the grantee. TISEZA papers if facilitation is in play. Building drawings do not belong in this folder until the instrument exists. Mixing architecture with title is how you pay an architect for a plot you cannot hold.

Stamp duty on land instruments is a TRA / stamp-duty file. It is not a TISEZA schedule row and not a Zatra fee. Confirm the live stamp-duty treatment for that instrument class. This page does not print a rate.

What this page is not

A village-land conversion walkthrough: the keeper covers that. A Zanzibar title manual: the split page covers that. A promise that TISEZA will find you a plot. Facilitation is a process with a live inventory, not a warehouse of anonymous hectares.

As-at 10 September 2026: what this land desk will not freeze

This page will not freeze a Lands fee, a TISEZA facilitation charge, a stamp-duty rate, or a surveyor’s invoice. Those rows move. Confirm lands.go.tz, the live stamp-duty treatment, and the surveyor’s engagement letter. Zatra’s professional fee is only on /pricing/.

It will also not freeze a ‘foreigners may hold occupancy’ slogan. The typical foreign-investment route described on this site is a derivative right or a lease sitting on general land, often after village-land conversion. If a later Gazette or Act changes that, the Gazette wins. Read the extract you are being asked to buy, not the slogan on the billboard.

Occupier duties that survive the handshake

Land rent, where it applies, is an occupier duty. Property rates, where the local authority levies them, are a different bill. Development conditions printed on the instrument are duties. Leaving the plot idle in breach of a development condition is how a beautiful derivative right becomes a revocation file. Confirm the live rent and rates desks. This page invents no tariff.

Assigning or mortgaging the instrument usually needs consent the live Land Act framework names. A share sale that is ‘really a land sale’ can still be a land-consent story. Do not structure around the consent desk without an advocate. The capital-gains and share-sale orientations are tax files. They do not replace Lands consent.

Frequently asked questions

Can a foreigner hold a certificate of occupancy?

Typical investment use is described as a derivative right or lease, not a granted occupancy in the foreigner’s own name. Confirm the live Land Act and TISEZA land page.

Is a derivative right the same as a lease?

No. A derivative right is a statutory right derived from a granted occupancy. A lease or sublease is a contractual interest. Banks will ask which one you hold.

Is a village letter title?

No. See the village-land keeper. Conversion to general land is a legal step.

Does TISEZA issue the certificate of occupancy?

TISEZA may facilitate investment land. The occupancy / derivative instruments remain Lands instruments. Confirm live.

Can a sublease support a factory mortgage?

Sometimes, if the head lessor and the bank agree. It is not a granted occupancy. Do not assume.

Where are the fees?

Lands and, where applicable, TISEZA schedule rows. Confirm live. Not invented here. Zatra’s fee is on /pricing/.
