Nominee Shareholder Agreements: Making the Paper Trail Hold

Direct answer

How must the paper trail work for a nominee shareholder in Tanzania? A register of members proves legal title only: the Companies Act Cap. 212 keeps trusts off it. The state captures the rest separately, and section 14(2)(b) with the 2023 Beneficial Ownership Regulations allows 30 days to declare a beneficial interest and lodge it with the Registrar. Declaration of trust, instrument of transfer, board minute and BRELA filing must name one person on consistent dates. Where they diverge, a bank reads concealment and TRA reads a disposal.

This page is the nominee shareholding operating file: which documents must exist, in what order and on what dates, for a registered holder to be evidenced as holding for another. It is not a design for hiding ownership, nor a substitute for the advocate who settles the deed.

As at 14 September 2026. This file rests on the Companies Act Cap. 212 and GN No. 478 of 2023; forms and the reserved list move by Gazette, so confirm the current position on brela.go.tz.

What the register of members proves, and what it hides

The register kept under Cap. 212 records legal title. It does not record who the member answers to, because notice of a trust cannot be entered on it. A nominee arrangement is invisible at the first desk anybody checks.

The gap was closed from the other side. Section 14(2)(b) requires particulars of beneficial owners, and the Companies (Beneficial Ownership) Regulations, 2023, which revoked the 2021 set, govern how a company records them and how the Registrar is told. Two registers now sit side by side.

Mandate splits by jurisdiction. On the Mainland the Registrar of Companies holds the filings, lodged through BRELA’s Online Registration System. Zanzibar companies register at BPRA under the island’s own legislation, so the pack follows that agency’s list. Income tax on a realisation is a Union matter and stays with TRA; Zanzibar stamp duty belongs to ZRA.

Where a nominee stops being administrative

Most nominee holdings begin for a dull reason. Cap. 212 forms a private limited company on the subscription of two or more persons, and a single foreign owner needs a second name on the memorandum. A properly declared trust answers that.

It becomes something else the moment it changes what the company may lawfully do. Activities reserved or restricted for non-citizens under GN No. 487A of 2025 are tested against who actually owns the business, not whose name sits on the certificate. The Land Act Cap. 113 treats a body corporate as a non-citizen where the majority of its shareholding is held by non-citizens, so a citizen fronting foreign capital only postpones the question. Minimum investment capital under the Tanzania Investment Act, 2022 differs for local and foreign applicants, read against beneficial ownership.

The Anti-Money Laundering Act Cap. 423 obliges a bank to identify and verify the true owner before opening an account and while it keeps one. Decide lawfulness first; then build the file.

Which desk reads which paper

Four documents carry the holding and a fifth file reads all of them. They fail as a set: each desk sees one on a different day, against what it was told earlier.

Drafting the declaration so it survives a bank file

The declaration of trust is the instrument in which a registered holder admits holding for another. Execute it at or before the allotment it describes. A declaration bearing a later date is evidence of the enquiry, not of the trust.

Working contents: both parties identified as the bank will re-verify them; class, number and certificate numbers; who funded the subscription, with the payment reference proving it; an undertaking to vote only on instruction; a mandate to account for dividends; a transfer-back mechanic exercisable on demand; an indemnity against calls; and the position on the nominee’s death or departure.

Attest before a commissioner for oaths. Keep the original with the true owner, a certified copy in the statutory file, and beside it an undated executed transfer form with the share certificate. Read the articles first: a pre-emption clause catching the return turns an unwinding into a negotiation.

The transfer instrument and its stamp

Cap. 212 requires a proper instrument of transfer before a company may register a change of member. It names transferor and transferee, states class, number and consideration, and is executed by the transferor. The company then issues a fresh certificate.

That instrument is stampable under the Stamp Duty Act Cap. 189. Stamping is not a formality to catch up later: an unstamped transfer is what a purchaser’s diligence finds three years on, and the assessment lands mid-sale. Confirm the live rate and the stamping window on tra.go.tz.

Consideration is where these files break. If the nominee paid nothing, do not write a price implying payment. Where the transfer unwinds a trust already declared, say so on its face and attach the deed. Where it is a real sale, the price must be one the accounts defend.

Proving that beneficial ownership never moved

TRA treats a movement of shares as a realisation unless the file shows otherwise. Under the Income Tax Act Cap. 332, realising shares in a resident entity raises the single instalment tax question at section 90, and the charge differs for resident and non-resident holders. Confirm the live schedule on tra.go.tz.

Section 56 punishes a badly papered unwinding. Where underlying ownership changes by more than 50 per cent against its position at any time in the previous two years, the entity is treated as realising its assets and liabilities, and carried-forward losses are restricted. The statutory phrase is underlying ownership: the beneficial position, not a name in a register.

A transfer to the person who beneficially owned the shares all along should not move that measure, but only three things prove it: a deed dated before the allotment, a filing naming the true owner from the start, and a funding trail showing whose money bought the shares.

The sequence the desks actually take

  1. Decide lawfulness before structure. Screen the activity against the reserved list and, where land is involved, against Cap. 113.
  2. Settle the deed before the shares exist. Instruct an advocate to draft it and check the articles for transfer restrictions.
  3. Execute and attest. Sign before a commissioner for oaths on or before the subscription date, and fund that subscription from the investor’s own account.
  4. Write up both registers. Pass the board minute, enter the member, and enter the beneficial owner under section 14(2)(b).
  5. Declare and lodge inside 30 days. A registered owner holding for another declares on Form No. 14d, an indirect beneficial owner on Form No. 14e, and the company lodges through the portal.
  6. Stamp the transfer. Present the instrument to TRA under Cap. 189 and keep the stamped original, not a scan.
  7. Take the pack to the bank. Hand compliance the deed, both registers, the acknowledgement and the funding evidence at onboarding, not after a freeze.
  8. Report every later change. Notify a change on Form No. 14f and a cessation on Form No. 14c within the same window.

Documents the file carries

Memorandum and articles; certificate of incorporation; the attested declaration of trust; an executed transfer form and the share certificate held by the true owner; the board minute; both registers; the declaration form as lodged, with its acknowledgement; the stamped instrument; bank advice evidencing who paid; certified identification for both parties; and, where a non-citizen sits behind the holding, the licence permitting the activity.

Put an index at the front recording each document’s date. Disputes about nominee holdings are disputes about chronology, and an index showing the deed preceding the allotment answers the first question any reviewer asks.

Illustrative arithmetic: unwinding a 51 per cent holding

Take a company with 100,000 ordinary shares of TZS 10,000 each, issued capital TZS 1,000,000,000. A local nominee subscribes for 51,000 at incorporation and declares he holds for the foreign investor who funded him. Three years later the investor takes them into his own name.

Where the trust was declared and filed, beneficial ownership is unchanged, section 56 is not engaged, and the cost is stamping, the change notification and the secretarial work.

Where it was not, TRA sees 51 per cent of the register move with nothing showing the beneficial position stood still. If net assets are TZS 4,200,000,000, the proportionate value of 51,000 shares is TZS 2,142,000,000. An instrument stating consideration at par (51,000 × TZS 10,000, so TZS 510,000,000) leaves TZS 1,632,000,000 to explain, on top of a possible deemed realisation across the balance sheet. Where the filing was never made, regulation 10 adds a fine of not less than TZS 5,000,000 and not more than TZS 10,000,000.

Illustrative arithmetic, not a quotation.

Where the file stalls

What moved since the beneficial-ownership amendment

GN No. 478 of 2023 replaced the 2021 Regulations and carries the current Form No. 14b to Form No. 14f series, the 30-day clocks and the regulation 10 fine. GN No. 487A of 2025 restated which activities non-citizens may not carry on. The Tanzania Investment Act, 2022 reset investment-capital thresholds and the process that reads through to the true owner.

Mandate-holders this file does not replace

The Registrar owns the register and the beneficial-ownership filing on the Mainland; BPRA owns the equivalent in Zanzibar. TRA owns stamping and the income-tax consequence of a realisation; ZRA owns Zanzibar stamp duty. The Financial Intelligence Unit and the bank’s reporting officer own the suspicion question, and the sector regulator owns whether a non-citizen may carry on the activity.

An advocate settles the declaration; a commissioner for oaths attests it; a licensed auditor signs the accounts. Zatra prepares, structures and coordinates the pack and the filings, and does not practise law, audit or issue approvals. No registry or banking outcome is guaranteed.

Frequently asked questions

Are nominee shareholders legal in Tanzania?

Permitted, provided the beneficial owner is declared to the company and lodged with the Registrar. A nominee used to disguise ownership from a regulator or a bank is a different matter.

Can the register of members record the trust?

No. Notice of a trust stays off it. That is why the declaration is a separate instrument, and why a second register of beneficial owners exists under section 14(2)(b).

How long do we have to file beneficial ownership?

Thirty days from the entry in the company’s own register, or from the date of a change, under regulations 3, 4 and 5 of the 2023 Regulations. The forms run 14b through 14f.

What happens if we never filed at all?

Regulation 10 sets a fine between TZS 5,000,000 and TZS 10,000,000. The practical cost arrives sooner, as an account that cannot be opened or a sale that cannot close.

Does transferring shares back to the true owner trigger tax?

A documented unwinding should not change underlying ownership for section 56 of Cap. 332. Without dated evidence, TRA sees only a movement in the register and will test it as a realisation.

Can a nominee make our company count as citizen-owned for land?

No. Cap. 113 looks at the majority of the shareholding, and the enquiry reaches whoever really owns it. The arrangement delays that question rather than answering it.

Does any of this apply to a Zanzibar company?

The island registers at BPRA under separate legislation, so neither Cap. 212 nor these Regulations apply. Income tax remains a Union matter with TRA, and stamp duty is ZRA’s.
