Changing a Tanzanian Company Name or Office: Where Service Lands

Renaming a Tanzanian company, or moving its registered office? The Registrar of Companies at BRELA holds the mandate under the Companies Act Cap. 212. Both changes are lodged on the Online Registration System: Form 33 for the name, Form 114 for the office, on the sheets reissued by GN No. 82 of 2026. A rename needs a special resolution and operates from the certificate date, while the registration number and the TIN survive it. The stall is downstream: TRA, the council licence, the bank mandate and staff permits still read the old style. Zanzibar files at BPRA. Confirm live forms and fees on ors.brela.go.tz.
This page is the name and registered-office operating file: which register entry each change lives in, and which desks stop recognising the company until told separately. It is not an incorporation walkthrough and not a branding note.
- Foreign-language constitutional papers: BAKITA translation
- Picking the vehicle before you name it: branch, subsidiary or local company
- Inheriting a name with a company: the diligence file
- Ownership a rename cannot answer: 100% foreign holding
As at 14 September 2026. This file rests on the Companies Act Cap. 212 and the Companies (Forms) (Amendment) Rules, 2026 published as GN No. 82; confirm the live forms, fees and queue on ors.brela.go.tz.
Two register entries, and one thing that is not an entry at all
Operators bundle three separate acts under one word. First, the company’s name on the register at BRELA. Second, the registered office: the address the register carries. Third, the place the business physically trades from, which is a licence and premises question, not a registrar one.
Only the first two are filings under Cap. 212. A trading style on a signboard belongs to a different statute, the Business Names (Registration) Act Cap. 213, and needs its own certificate. A mapping pin, a letterhead and an email footer carry no statutory weight.
What the certificate moves, and what it cannot reach
A change of name does not create a second company. The legal person continues; the registration number stays; the taxpayer identification number stays; contracts, debts, leases, employment and any pending suit run on under the new label. Counterparties who demand a novation are usually asking for something the law already gives them.
The reverse limit matters more to investors. A rename does not touch the share register, so it cures nothing about control. If the business sits in an activity reserved for citizens under GN No. 487A of 2025, a Swahili-sounding name changes none of that. If land is held by a company under non-citizen control, the Land Act Cap. 113 restrictions on how that company may hold land survive the certificate untouched. State the ownership position first; file second.
Mainland and Zanzibar keep two registers
BRELA and Cap. 212 govern Mainland companies. A company incorporated in Zanzibar sits with the Business and Property Registration Agency under Zanzibar’s own companies legislation, and its revenue file with the Zanzibar Revenue Authority rather than TRA on non-Union taxes. A Mainland certificate moves nothing on the island side.
A group trading in both jurisdictions re-papers twice, on two timetables, against two sets of prescribed forms. Budget the second queue at the outset rather than meeting it when an island licence renewal is refused.
Which change, which register, which paper proves it
| The change | Recorded by | Paper that proves it | What it leaves alone |
|---|---|---|---|
| Company name, Mainland | Registrar of Companies, Form 33 on ORS | Certificate of change of name | Registration number, TIN, contracts, sector licences |
| Registered office, Mainland | Registrar of Companies, Form 114 on ORS | Updated company search report | The premises named in the business licence |
| Name or office, Zanzibar | Business and Property Registration Agency | Zanzibar registrar’s certificate | Mainland entries and TRA records |
| Trading style on signage | BRELA under Cap. 213 | Business name certificate | The company’s legal name |
| Operating premises | Council licensing desk under Cap. 208; workplace registration with OSHA | Reissued or endorsed business licence | The registered office, until Form 114 is lodged |
Service lands at the registered office, not at the map pin
Cap. 212 allows a document to be served on a company by leaving it at, or posting it to, the registered office shown on the register. That single provision is why the entry deserves more care than the name does. A summons, a statutory demand, a revenue assessment or a winding-up petition delivered to the address of record is validly delivered, whether or not anyone still sits there.
Vacating premises without lodging Form 114 does not make service defective. It makes the company absent from proceedings it never heard of, and default judgment is entered against absentees. In reverse, a post office box gives a process server nowhere to stand: name a street location the registrar and the council can both find.
Cap. 212 also requires the company’s name to appear on its business letters, invoices, orders and cheques. Printing the new style before the registrar has signed puts a name on commercial paper that the register does not yet recognise, and officers carry that exposure personally.
The order the desks actually take
- Clear the name before the board sits: run the search on ORS. A name identical or confusingly close to a registered company or business name is refused, and restricted words carry a prior consent: “bank” under the Banking and Financial Institutions Act, 2006 from the Bank of Tanzania, insurance wording from TIRA.
- Read the constitution and the lender file: the memorandum and articles, any shareholders’ agreement, facility covenants and every sector licence condition that names the borrower or licensee.
- Pass a special resolution: carried by three-fourths of the votes cast, on the notice period Cap. 212 and the articles between them require. A sole member still signs and dates a written record.
- Lodge Form 33 on ORS: with the certified resolution and the clearance attached, against the fee BRELA publishes on the day.
- Collect the certificate of change of name: and diary its date. That is the day the new style begins to operate, not the day the board resolved.
- Lodge Form 114 if the address also moves: with the tenancy evidence the desk asks for, timed to the day the address becomes true rather than the day the boxes are packed.
- Re-paper the statutory identity: TIN and VAT certificates at TRA, the electronic fiscal device registration, the council licence, the workplace registration, employer records at WCF and NSSF, sector licences, and any certificate of incentives issued under the Tanzania Investment Act, 2022.
- Re-paper the commercial identity: bank mandate and account title, leases and insurance policies, land documents at the Registrar of Titles under the Land Registration Act Cap. 334, and the permits held by non-citizen staff.
The papers the file needs
For the registrar: a certified copy of the special resolution with the minutes of the meeting that passed it; the clearance printout from ORS; the original certificate of incorporation for endorsement where the desk asks; the memorandum and articles as amended; and a board resolution naming the person lodging. For an office move, add the tenancy agreement or a landlord’s letter, plus the plot, street and ward identification the licensing officer works from.
For the desks after it: existing TIN and value added tax certificates for reissue; the current business licence; original sector licences for variation; and, for the bank, a certified search report with fresh due diligence on directors and signatories under the Anti-Money Laundering Act Cap. 423. Constitutional documents in a language other than English or Swahili need a BAKITA translation first.
Illustrative arithmetic: crossing a council boundary
Service levy runs at 0.3% of turnover under the Local Government Finance Act Cap. 290 and belongs to the council in whose area the business operates. Take a manufacturer turning over TZS 4,800,000,000 in the year, evenly spread at TZS 400,000,000 a month. The levy is TZS 1,200,000 monthly, TZS 14,400,000 across the twelve months.
Shift the operation to a neighbouring municipal council with effect from 1 May. Four months, TZS 4,800,000, belong to the first council; eight months, TZS 9,600,000, belong to the second. The annual charge has not risen by one shilling: only the payee changed. Remit the full TZS 14,400,000 to the council you left, and the one you joined opens an arrears file, then declines the licence renewal sitting behind it. Illustrative arithmetic, not a quotation.
Where this file stalls
- The resolution is dated before the clearance, so the registrar reads a decision taken over a name that was not yet available.
- An office entry is filed as a postal box with no physical location behind it.
- Invoices and fiscal receipts carry the new style ahead of the certificate date, and the customer’s input tax claim is queried.
- The bank account keeps the former title, and an inward telegraphic transfer is returned by the correspondent because the beneficiary does not match.
- Residence and work permits stay in the old name, so renewal is treated as an application by a different employer.
- A certificate of occupancy is left unamended, and the land file blocks the next mortgage.
- Signage, website and mapping listing change the same afternoon; Form 114 is never lodged.
- Zanzibar operations run on the superseded file for months after the Mainland certificate issues.
What moved in 2026
GN No. 82 of 2026 reissued the prescribed company forms. A blank pulled from an adviser’s old folder may no longer be the sheet ORS accepts: the cheapest rejection in this exercise to avoid. Filing now runs through the portal rather than a counter, so evidence is uploaded rather than carried.
Beneficial-ownership particulars also sit in the register alongside the name and the office. Where a rename accompanies a genuine change in control, that is a second entry with its own deadline, and folding it into the name filing is how a register goes stale.
Mandate-holders this file does not replace
BRELA owns the register and issues the certificate. TRA owns the TIN, value added tax and fiscal device records, while the Zanzibar Revenue Authority owns the island equivalents on non-Union taxes. The local government authority owns the licence under the Business Licensing Act Cap. 208 and the levy under Cap. 290. OSHA owns workplace registration under the Occupational Safety and Health Act, 2003.
The Labour Commissioner owns work permits under the Non-Citizens (Employment Regulation) Act, 2015; the Immigration Department owns residence permits under the Immigration Act Cap. 54. TISEZA owns the certificate of incentives, and the Registrar of Titles the land entry. Sector regulators (the Bank of Tanzania, TIRA, TCRA, EWURA, the Mining Commission) vary their own instruments on their own terms, and none treats a BRELA certificate as self-executing. An advocate amends pleadings where a suit is on foot. Zatra prepares, structures and coordinates this file; it issues no approval and gives no assurance of any regulatory outcome.
What to confirm before you act
- That the proposed name clears on ORS and carries no restricted word for which you hold no prior consent.
- That the meeting is properly convened, the resolution special rather than ordinary, and dated after the clearance.
- Which sheets from the 2026 rules ORS is accepting today, and the fee payable against each.
- The signature date on the certificate, since every downstream desk works from it.
- Whether the new address falls inside the same council area as the old one, and what that does to the levy and the licence.
- Which permits, licences, policies and title documents name the company, and the order in which each holder will accept the certificate.
- Whether a Zanzibar file exists, and what BPRA and the island revenue desk want to see.
Frequently asked questions
Does a change of name create a new company?
No. The legal person, the registration number and the taxpayer identification number all survive. Contracts, borrowings, employment and pending litigation continue under the new label once the certificate issues.
What majority does the resolution need?
A special resolution: a three-fourths majority at a general meeting convened on the statutory notice. Read the articles as well, since they may demand longer notice or a higher threshold than Cap. 212 sets.
Can the registered office be a post office box?
A postal address is not a place where a document can be left. Service under Cap. 212 depends on somewhere a process server can physically reach, so give the street location the council inspector would also visit.
Is a mapping listing the registered office?
No. An online business listing has no statutory effect whatsoever. Only the Form 114 entry at BRELA decides where summonses, revenue correspondence and formal notices are validly delivered to the company.
Does the Mainland certificate update Zanzibar?
No. The island keeps its own registry at BPRA and its own revenue authority. A company present on both sides files twice, with different prescribed papers and separate timelines for each register.
What happens to the licence when premises move?
The licence under Cap. 208 names premises, so the council whose area you enter issues the replacement. Where the council itself changes, the service levy payee moves with the operation from the effective date.
What does Zatra charge to run this?
Professional fees appear only on the pricing page. Registrar, revenue and council charges are separate lines paid to those bodies, and are never presented as part of a Zatra invoice.
