Shareholders’ Agreement in Tanzania: What the Articles Cannot Do

What does a shareholders’ agreement in Tanzania cover that the articles do not? Articles are the registered constitution under the Companies Act Cap. 212, readable by anyone who searches the company at BRELA. A shareholders’ agreement is a private contract under the Law of Contract Act Cap. 345, binding only those who sign. It carries reserved matters, board seats, funding obligations, deadlock exits and drag-along, none of which the Act supplies. It cannot repeal Cap. 212: three-fourths of the votes still alters the articles. Pull the registered text from brela.go.tz first.
This page is the shareholders’ agreement operating file: it decides which term belongs in the articles lodged with the Registrar and which belongs in a contract nobody files. It is not a drafting precedent and not a substitute for an advocate of record.
- First ninety days after incorporation: launch sequence
- Who the register says owns the shares: beneficial vs legal ownership
- Records behind a dividend: accounting and bookkeeping
- Land inside a joint venture: investment land due diligence
As at 14 September 2026. This file rests on Cap. 212 and Cap. 345; pull the current articles and the ownership record from brela.go.tz before a word is drafted.
The articles are filed; the agreement is not
Incorporation lodges a memorandum and articles with the Registrar of Companies at BRELA. They are public from that moment: a competitor, a bank or a counterparty buys the extract and reads every restriction you wrote in. Registered articles bind the company and each member as though all had signed, so a right written there reaches a shareholder who joins later and signs nothing.
The agreement is lodged nowhere and binds only the people on its signature page. A buyer takes his shares free of it unless a deed of adherence brings him in as a condition of transfer: which is why that deed sits in every competent Tanzanian draft.
What Cap. 212 decides before anyone drafts
A private company must restrict the transfer of its shares, cap membership at fifty excluding present and former employees who hold as members, and make no public invitation to subscribe. It cannot exist with one member: two is the Mainland floor. A public company needs seven.
Voting thresholds come from the Act, not from preference. An ordinary resolution passes on a simple majority of votes cast. A special resolution (altering the articles, changing the name, reducing capital) needs not less than three-fourths, on twenty-one days’ notice. Holders of one-tenth or more of the paid-up voting capital may requisition an extraordinary general meeting. An annual general meeting falls in every calendar year and within fifteen months of the last.
Zanzibar is a separate register. Island companies are incorporated and supervised by the Business and Property Registration Agency (BPRA) under Zanzibar’s own companies legislation. Income tax on a dividend stays a Union tax collected by TRA; non-Union taxes sit with ZRA. A Mainland precedent copied onto an island company without checking the local instrument is the commonest structural error there.
Restrictions that come before the clause list
Settle whether a non-citizen may hold the economics at all before anyone negotiates veto rights. The reserved-activities list at GN No. 487A of 2025 closes certain businesses to non-citizens. No drafting device manufactures foreign participation in one of them, and a nominee arrangement attempting it misdeclares to two registries at once.
Land is the second gate. Under the Land Act Cap. 113 a non-citizen may not hold land except by a derivative right for investment purposes. No contract can promise him a beneficial interest in a granted right of occupancy the statute denies him directly. Mining, petroleum, telecommunications, insurance and banking add shareholding conditions and change-of-control consents inside the licence.
Governing law is the third gate. For a venture over natural wealth and resources, the Natural Wealth and Resources (Permanent Sovereignty) Act, 2017 requires disputes to be settled by judicial bodies established in Tanzania, under Tanzanian law. A joint-venture contract naming a foreign seat is drafted against that statute.
What the agreement cannot undo, and how each is enforced
A company cannot bind itself never to exercise a statutory power: a clause saying the articles will never be altered does not stop the members altering them. What works is a promise among shareholders about how each will cast his own vote, enforceable against them personally.
Enforcement runs on two tracks. Breach of the constitution is a members’ matter under Cap. 212, with the Act’s oppression remedy open to anyone whose interests are unfairly prejudiced. Breach of the contract is an ordinary claim under Cap. 345: damages, specific performance, or an injunction restraining a vote or a transfer. Neither route escapes a statutory filing, a regulator’s consent or a tax charge, and directors keep their fiduciary duties whatever they were instructed to vote.
Which term belongs in which document
| Term | Where it must sit | Cost of misplacing it |
|---|---|---|
| Transfer restriction and pre-emption on sale | Articles, mirrored in the contract | Directors register a transfer the contract forbade; the buyer keeps them |
| Votes and dividend priority attaching to a class | Articles | A preference promised by contract alone never travels to a transferee |
| Reserved matters needing a named investor’s consent | Agreement | On the public file it hands rivals your governance map |
| Right to appoint a director at a stated stake | Agreement, with an articles hook | Contract alone cannot stop a meeting removing the appointee |
| Deadlock exit, put and call, valuation basis | Agreement | Published, it fixes a price formula every future buyer can read |
| Drag-along and tag-along on a change of control | Articles, mechanics in the agreement | A dragged minority who never signed is bound by nothing |
Terms the constitution does not supply
Standard articles are silent on almost everything a funded venture argues about. The contract is where the budget approval sits, the borrowing cap above which an investor must consent, the matters that cannot pass without a named signature, and the duty to deliver monthly management accounts within a stated number of days.
Money commitments live there too: further subscription obligations, shareholder loans and their subordination, anti-dilution on a down round, and the penalty for failing to fund a call. So do founder terms: vesting, good-leaver and bad-leaver treatment of unvested shares, non-competition, confidentiality. Exit is the last block: trade-sale mechanics, the drag threshold, tag rights and a valuation method.
Threshold arithmetic on a TZS 200 million cap table
Illustrative arithmetic, not a quotation. Take a private company with issued capital of TZS 200,000,000 divided into 200,000 ordinary shares of TZS 1,000 each. Founder A holds 120,000 shares (60%), Founder B holds 64,000 (32%), Investor C holds 16,000 (8%).
A alone carries every ordinary resolution. A and B together hold 92%, above the three-fourths line, so they rewrite the constitution over C’s objection. B at 32% sits above one-quarter and blocks any special resolution without a clause at all. C at 8% is below the one-tenth requisition threshold and cannot call a meeting.
Now issue 100,000 new shares to a fourth subscriber. The register becomes 300,000. C falls to 5.33%, A drops to 40% and loses the ordinary majority, and the founders together fall to 184,000 of 300,000, or 61.33%: short of three-quarters. Nothing in the Act prevented it. A pre-emption right would have.
On distribution, a declared dividend of TZS 120,000,000 gives C a gross 8% share of TZS 9,600,000. Dividend withholding under the Income Tax Act Cap. 332 is 10%, so TZS 960,000 is deducted and C banks TZS 8,640,000. The reduced 5% row reaches a resident corporation holding 25% or more of the votes and shares, and DSE-listed companies: C qualifies for neither. Confirm the live schedule on tra.go.tz.
The order the desks take it in
- Pull the registered pack. BRELA extract, current articles, register of members, ownership record. Draft against what is filed, never against what someone remembers agreeing.
- Screen the activity. Test it against GN No. 487A of 2025, the Cap. 113 position on any land, and the sector licence, before clauses are negotiated.
- Map every term to a document. Decide whether each goes public, stays private, or appears in both, and where both, keep the two texts identical.
- Pass the resolutions. A special resolution on twenty-one days’ notice for amended articles; a board resolution approving the company’s own entry where it is a party.
- File with the Registrar. Lodge the resolution and amended articles through BRELA’s online registration system, and refresh the ownership particulars in the same window.
- Execute and stamp. Sign, date, and settle whatever duty Cap. 189 charges on the instrument. Confirm the treatment with TRA.
- Calendar it, then rebuild it. Board dates, the management-accounts deadline, the annual meeting inside its fifteen-month window, the veto consent route: redone each round with a fresh cap table and new adherence deeds.
Papers the file needs
Certificate of incorporation; memorandum and articles as currently registered; the register of members, register of directors and secretaries, register of charges and minute book kept under Cap. 212; share certificates under seal; an instrument of transfer for each past transfer; the return of allotments for each issue on the Act’s timetable; certified resolutions already passed; BRELA online credentials and the filed ownership declaration; and the company TIN. Where the venture holds land, add the certificate of occupancy or derivative right; where it holds a licence, add the change-of-control clause.
Where this file stalls
- An English or Delaware precedent adopted unchanged, quoting resolution thresholds and officer roles that do not match Cap. 212
- Veto rights sitting only in the contract while three-quarters of the votes can still strip them from the constitution
- Pre-emption written into the contract alone, so directors lawfully register a transfer under articles that never restricted it
- A nominee holding for a non-citizen on a reserved activity, contradicted by the particulars the company itself filed
- Drag-along with no valuation basis, so the dragged minority litigates price rather than principle
- A two-member company where one member dies without a transmission clause, leaving an estate in deadlock
What has moved since 2020
Beneficial-ownership disclosure entered Cap. 212 through the Finance Act 2020, and BRELA now collects those particulars alongside the register of members. Any arrangement separating the registered holder from the person who really controls the shares has to match what the company declared.
The Arbitration Act, 2020 replaced the earlier arbitration law and established the Tanzania Arbitration Centre, changing how a domestic seat is drafted and an award enforced. GN No. 487A of 2025 then published the reserved list. Both post-date most precedents circulating in Dar es Salaam, which is why old templates fail on their newest clauses first.
Mandate-holders this file does not replace
BRELA owns the articles, the register and the ownership record on the Mainland; BPRA owns the equivalent on the islands. TRA owns withholding on distributions, duty on instruments and the tax treatment of a share transfer. Your commercial bank, applying the Bank of Tanzania framework, owns the evidence for remitting funds abroad. The Fair Competition Commission, under the Fair Competition Act Cap. 285, owns change-of-control notification. Confirm the live threshold before closing.
Drafting and litigation belong to an advocate of record. Zatra Consultants Limited prepares, structures and coordinates the file (cap table, document map, filings and calendar), and does not practise law, audit or issue approvals. No adviser guarantees a regulatory outcome.
What to confirm before you act
- The articles currently on the register, not the version in the founders’ email
- Whether the business appears on GN No. 487A of 2025, and what the licence says about change of control
- The exact percentage each member holds today, and what that stake controls unaided
- Whether every protective term has a home in the constitution where it must bind a future holder
- The live dividend withholding row and any duty on the instrument, on tra.go.tz
- That the declaration on file and the private contract tell the same story about control
- For a natural-resource venture, that governing law and dispute clauses meet the Permanent Sovereignty Act
Frequently asked questions
Is a shareholders’ agreement filed with BRELA?
No. It is a private contract between the members who sign it and never reaches the Registrar. Only the memorandum, articles, resolutions and statutory returns appear on the public file.
Can the agreement override the articles?
Not against the company or a non-signatory. Where the two conflict, the registered constitution governs corporate acts, and the contract gives the injured party a claim against whoever broke it.
How many shareholders must a Tanzanian private company have?
At least two on the Mainland under Cap. 212, with a ceiling of fifty excluding employee members. A public company needs seven. Island companies follow the Zanzibar instrument through BPRA.
What percentage blocks a change to the articles?
Anything above one-quarter of the votes. A special resolution requires not less than three-fourths, so a holder of more than 25% has a statutory veto over alteration without any contractual right.
Does the document need stamping?
Duty on instruments is charged under the Stamp Duty Act Cap. 189 and turns on what the paper actually does. Confirm the treatment of your own instrument with TRA before execution.
What does Zatra charge for this?
Professional fees appear only on the pricing page, never inside an Insights article, and they are always shown separately from government and bank charges.
