Renewing or Transferring a Mining Licence: The Mining Commission’s File, Not a Side Letter

Direct answer

Renewing or Transferring a Mining Licence? A Mainland mineral right is renewed or transferred at the Mining Commission under the Mining Act framework, on the live class that instrument actually is: prospecting, mining, or the dealer/broker family where that is the paper you hold. A share sale, a STAMICO conversation, or a lawyer’s side letter does not move the right. Confirm tumemadini.go.tz. This page publishes no application fee, no royalty, and no remaining-term arithmetic. EIA, local-content and tax files sit beside the Commission, not instead of it.

This page is the mineral-right continuity file: how a live Mining Commission instrument is renewed or transferred. It is not a first-time licence tutorial, not a STAMICO joint-venture rewrite, and not a dealer-export royalty table.

As at 10 September 2026. Confirm tumemadini.go.tz and madini.go.tz. This page publishes no application fee, no royalty, no remaining-term formula, and no local-content percentage. If a sentence here disagrees with the live Mining Act instrument or a Commission circular, the Commission wins.

Name the instrument you actually hold

Prospecting, mining, and the dealer/broker family are different papers. A renewal pack copied from a mining licence onto a prospecting right is how the portal rejects you. A transfer of a dealer licence is not a transfer of a mining licence. Pull the certificate, the coordinates, the remaining term, and the holder’s exact name as the Commission spelled it, not the trading style on the helmets.

Primary mining licences, special mining licences and other live classes (whatever the Act and the Commission currently name) each carry their own continuity rules. This page will not freeze a class list. Open the live Commission portal and the Act as gazetted. If your instrument is a Zanzibar file, stop: this page is Mainland minerals.

Renewal is not a courtesy email

A mineral right that expires while you ‘wait for the JV’ is not paused. Continuity, where the Act still allows it, is an application on the live form, in the window the instrument and the regulations actually give you. Working the ground on an expired right because ‘the renewal is in process’ is how you fund an inspection file. Confirm the live window. This page will not invent a day-count.

Outstanding reports, royalties, environmental obligations and local-content returns, where the live rules require them, sit in the renewal conversation even when the commercial team only wants another term. A clean legal opinion that ignores TRA royalty and NEMC audit status is not a renewal pack.

Transfer is not a share purchase

MoveWhat actually movesTypical stall
Commission transfer of the mineral rightThe licence/right itself, if consent issuesSigning a share SPA and calling it done
Share sale of the holder companyEquity in the person that holds the rightAssuming the Commission is bound by the SPA
Farm-in / optionA contract to seek a later transferOperating as if the option already transferred
STAMICO participation conversationA possible state-vehicle pathUsing a STAMICO meeting note as a transfer stamp

Buyers who want the ground should diligence both: the Commission register and the company that holds it. A clean company with a lapsed right is a shell. A live right in a struck-off company is a restoration problem. See restoration and diligence.

Desks that sit beside the Commission

NEMC / the EIA certificate issuer is not the Mining Commission. A transfer that ignores an environmental certificate condition is still an environmental file. TRA royalty and export control sit on production and offtake, not on the SPA. Lands is not a mineral right. TISEZA is not a mining licence. Work permits for the new operator’s staff are a labour file. Sequence them. Do not paste a TISEZA slide into a Commission transfer.

Sequence

  1. Read the instrument: class, holder name, coordinates, term, conditions.
  2. Read the live Commission procedure for renewal or transfer of that class. Print the portal card.
  3. Map consents: Commission consent, any statutory pre-emption or state-participation overlay the live Act names, lender consents, and the company’s own board/shareholder authorities.
  4. Map the beside-desks: EIA status, royalty position, local-content filings, tax clearance conversations if a buyer’s bank wants them.
  5. Lodge on the live form. Do not treat a data-room PDF as the application.
  6. Do not operate as the new holder until the register shows it. An ‘effective date’ in the SPA is not the Commission.

Where this file stalls

Worked path: the buyer who only signed the SPA

A foreign buyer signs a share purchase for 100% of a Tanzanian holder. The helmets change. The cadastre still names the old company, which is fine if the right sits in that company, until the buyer also wants the licence in a new special-purpose vehicle. That second move is a Commission transfer, with whatever consents the live Act names. Operating as the SPV on an SPA effective date is how an inspection starts. If the holder was already struck off, restore that person before anyone pretends to transfer.

A different buyer only wanted the equity and is content to leave the right in the same company. That buyer still needs to know whether the live Act or the licence conditions treat a change of control as a consent event. This page will not invent that trigger. Print the instrument and ask the Commission in writing. Do not take silence on a Sunday WhatsApp as consent.

Reports, royalties and the file the inspector already holds

Renewal conversations fail when production reports, royalty positions and environmental audits are a mess even if the legal opinion is pretty. The inspector already has last year’s non-filing. Putting a new logo on the gate does not close that. Sequence the repair: name what is outstanding, name which desk owns it, and do not tell a lender the renewal is ‘administrative’ until those desks have been asked.

Documents this file usually needs

The mineral-right certificate and conditions; cadastre print of the coordinates; BRELA extract of the holder; remaining-term calculation as the certificate states it (not as a broker WhatsApp states it); EIA certificate status; royalty and reporting position TRA/Commission actually show; draft SPA or farm-in if a transfer; board authorities; live Commission forms from tumemadini.go.tz.

What this page will never publish

An application fee. A royalty rate. A local-content percentage. A remaining-term formula beyond what the certificate already prints. Confirm the Commission the week you lodge.

Failure modes the officer already knows

Operating through expiry. Transferring shares and putting the buyer’s logo on the gate. Using a STAMICO slide as consent. Filing a mining-licence pack on a prospecting right. Ignoring a struck-off holder.

Operator calendar

Read the instrument first. Commission windows are live: print them. SPA signing is not the start of operations. EIA and royalty repair, if needed, sit before a buyer’s bank will fund, even if the Commission later consents.

What to put in the board minutes

Write the licence number, class, holder, coordinates, remaining term as on the paper, and whether this board is seeking renewal, transfer, or only a share sale. Write that no one operates as a new holder until the Commission register says so. Write that no fee is guessed.

What a declined pack usually looked like

An SPA, a helmet photo, and a cadastre screenshot with a different spelling of the holder. Rebuild the Commission pack. Do not restamp the SPA as if that were a regulator.

As-at 10 September 2026: what this desk will not freeze

Fees, royalties, class names, portal field names, and any SLA. Print tumemadini.go.tz the week you apply. The locked STAMICO keeper is not restated here.

Cross-links without contradicting keepers

STAMICO JV is the locked sibling. Restoration sits beside if the holder was struck off. Gold export is a different paper. Overlapping-claims remains pruned until upgraded. GN 487A hedging is unchanged.

Frequently asked questions

Does buying the company’s shares transfer the mining licence?

No. A share sale moves equity in the holder. The mineral right still needs the Commission path the live Act names if you need the right in a new name, and even a share sale can trigger consent overlays. Confirm tumemadini.go.tz.

Can we keep mining while the renewal sits?

Not on this page’s authority. Confirm the live instrument and the Commission. Working an expired right because ‘it is in process’ is how inspections start.

Is STAMICO the transfer desk?

No. STAMICO is a possible state-vehicle conversation. The Mining Commission owns the right’s register. The locked STAMICO page is not edited here.

What does it cost?

Not published here. Confirm the live Commission fee instrument. Zatra’s fee is only on /pricing/.

Does an EIA certificate transfer automatically?

Do not assume it. Environmental conditions attach to the project. Confirm NEMC / the issuer and the certificate’s own conditions.

Zanzibar minerals?

Wrong file. This page is Mainland.
