Joint Venture Shareholders’ Agreement: The Clauses Tanzania Enforces

How do you draft a shareholders’ agreement for a Tanzanian joint venture? Draft twice: once for the Registrar, once for the partners. The memorandum and articles filed under the Companies Act Cap. 212 are what BRELA, a bank and a future buyer read; the private agreement reaches only those who sign, so pre-emption, transfer restrictions and quorum belong in both. Screen the activity against the reserved list in GN No. 487A of 2025 and any local-content minimum before drafting, and test whether the venture crosses the merger notification threshold of TZS 3,500,000,000.
This page is the joint-venture shareholders’ agreement operating file: it decides which terms go into the articles filed at BRELA and which stay private. It is not a precedent bank, nor a substitute for the advocate who settles the deed.
- Who sits behind the shares: beneficial vs legal ownership
- The first quarter of filings: 90-day launch plan
- Land a partner contributes: investment land due diligence
- Books the vetoes rely on: accounting and bookkeeping
As at 14 September 2026. This file rests on Cap. 212, the Income Tax Act Cap. 332 and the Fair Competition Act Cap. 285; confirm live at brela.go.tz, tra.go.tz and fcc.go.tz.
Two documents, two audiences
The articles of association are a public filing, read by the Registrar, by a bank running account-opening diligence, and by any later buyer of shares. The agreement is private, carrying what the partners would rather not publish (dividend policy, non-compete, buy-out formula), and it binds nobody who has not signed. So a term that must hold against a future member, an executor or a receiver goes in the articles. Pre-emption, restrictions on who may hold shares, board quorum and class rights fail quietly in the private document alone.
On the Mainland the vehicle sits with BRELA; in Zanzibar with BPRA under the islands’ own companies legislation. Income tax is a Union tax administered by TRA on both sides, while VAT splits: the Mainland standard rate is 18% under the Value Added Tax Act Cap. 148, and Zanzibar VAT is a non-Union tax collected by ZRA. A private company needs at least two members and no more than fifty.
Screen the activity before anyone drafts
Where a non-citizen partner is involved, the restriction comes first and the drafting second. GN No. 487A of 2025 lists activities reserved for citizens, and a venture in a reserved class is not repaired by a clever clause; a nominee holding only moves the problem into the ownership declaration.
Land is its own gate. Under the Land Act Cap. 113 a non-citizen may not be granted a right of occupancy except for investment purposes, so land for such a venture normally arrives as a derivative right through the Tanzania Investment Centre under the Tanzania Investment Act, 2022. A partner contributing land needs the title and consent route checked before any value is written in.
Sector rules can set the equity split before the parties negotiate it. The Mining (Local Content) Regulations, 2018 require a supplier to that industry to be an indigenous Tanzanian company, or a venture in which one holds at least 20% of the equity; the Petroleum (Local Content) Regulations, 2017 set that participation at 15%. Under the Mining Act Cap. 123 the Government holds a free-carried interest of not less than 16% in a special mining licence holder. Most licences also carry a change-of-control consent.
Where each clause has to live
| Term | Articles (public, filed) | Agreement (private) |
|---|---|---|
| Pre-emption on transfer | Required if it is to bind a buyer | Mechanics, notice periods, damages between partners |
| Drag-along and tag-along | Required to reach a future member | Price basis and timetable |
| Reserved matters and vetoes | Quorum and class consents only | The full schedule, with TZS thresholds |
| Deadlock and buy-out | Rarely needed | Trigger, valuation basis, appointor of the valuer |
| Non-compete and confidentiality | Never | Term, territory and permitted disclosures |
| Dividend policy | Never | Subject to distributable profits |
The test is plain: a term that must survive someone joining or leaving the register is constitutional and must be filed. One that only allocates risk between signatories stays private.
Reserved matters worth the argument
A minority partner’s protection is the veto schedule, and it works only where each line is measurable: issuing shares or altering capital; borrowing above a stated shilling ceiling; any contract with a partner or its affiliate; disposal of a material asset or a licence; removal of the auditor; the annual budget. Write thresholds as figures, never as the word “material”.
Every veto is also a deadlock trigger, so a forty-line schedule buys paralysis rather than protection. And a private veto does not stop the Registrar accepting a resolution properly passed. It gives the wronged partner a claim, not an unwind. Where a step must be impossible rather than merely actionable, build it as a class right.
One line earns its place in every venture: no issue or transfer shifting underlying ownership by more than 50% without a tax opinion first. Section 56 of Cap. 332 treats that movement as a realisation, and partners usually meet it at assessment rather than at signature.
Money in, money out
The funding clause should say what happens when a partner cannot meet a call: dilution on a published formula, a default loan carrying interest, or a forced sale. Most say nothing, and the solvent side then carries the venture on goodwill alone.
Shareholder debt has limits. Section 12 of Cap. 332 restricts the interest deduction of an exempt-controlled resident entity once its debt-to-equity ratio passes 7:3, and interest paid to a non-resident lender carries withholding at 10%. An offshore shareholder loan is also a Bank of Tanzania file: registered and given a debt record number before drawdown.
Dividends come only from profits available for distribution under the Companies Act: audited accounts and a minuted resolution first. Withholding is 10%, falling to 5% where the recipient is a resident corporation holding a quarter or more of the payer’s shares. A treaty may change that for a foreign partner; confirm it and the live schedule on tra.go.tz. The bank then releases payment against resolution, accounts and tax evidence under the Foreign Exchange Act Cap. 271.
Deadlock, exit and the forum that hears it
With two equal partners, a casting vote is a decision, not an oversight: say whether the chair has one. Then set the escalation: named principals meet within a stated number of days, and only afterwards does a buy-out mechanic open. Roulette and shoot-out clauses work only where both sides can actually fund a purchase; against a better-capitalised counterparty they are a one-way option. A duller basis (audited net assets, or a valuer appointed by the relevant professional body) survives better.
Choose the forum deliberately. The Arbitration Act, 2020 governs proceedings seated here and created the Tanzania Arbitration Centre; foreign awards are recognised through the High Court, Commercial Division. Where the venture turns on natural wealth and resources, the permanent sovereignty legislation of 2017 requires disputes to be heard in Tanzania, so a foreign seat over a mineral right is a drafting error. An oppressed minority also keeps remedies under Cap. 212 whatever the parties wrote.
Illustrative arithmetic: one venture year
A Mainland venture company, 60% held by a foreign partner and 40% by a Tanzanian corporate partner. Turnover of TZS 4,000,000,000 attracts service levy at 0.3% under the Local Government Finance Act Cap. 290: TZS 12,000,000 to the local authority. Profit before tax of TZS 900,000,000 bears corporation tax at 30% under the Income Tax Act, or TZS 270,000,000, leaving TZS 630,000,000.
The board declares half, TZS 315,000,000. The foreign partner’s share is TZS 189,000,000; withholding at 10% sends TZS 18,900,000 to TRA and TZS 170,100,000 out of the country. The local corporate partner’s share is TZS 126,000,000; withholding at the 5% intercompany rate sends TZS 6,300,000 to TRA, leaving TZS 119,700,000. Illustrative arithmetic, not a quotation.
Fund that venture with TZS 300,000,000 of equity and a TZS 1,000,000,000 shareholder loan and the ratio bites: deductible debt stops at TZS 700,000,000, and interest on the excess falls outside the deduction.
From term sheet to filed register
- Test the proposed business against GN No. 487A of 2025, the local-content rules and the change-of-control terms of any licence, before heads of terms are signed.
- Check the competition threshold: combined market value of assets or turnover in Tanzania reaching TZS 3,500,000,000 requires notification to the Fair Competition Commission.
- Fix the structure: vehicle, funding mix, dividend and exit routes, while terms are still moveable.
- Draft articles and agreement together, then read one against the other so no private clause contradicts a filed one.
- Incorporate or amend at BRELA, or at BPRA for a Zanzibar vehicle: memorandum and articles, particulars of directors and secretary, registered office.
- File beneficial ownership and write up the register of members as shares are issued or moved.
- Register for tax and banking, then diarise the annual return, the first audit, and provisional instalments falling on the last day of the third, sixth, ninth and twelfth months.
- Stamp transfer instruments under the Stamp Duty Act Cap. 189 whenever shares move, taking the rate from TRA.
Documents the file needs
Heads of terms; the memorandum and articles as amended; the executed and witnessed agreement; resolutions approving each issue or transfer; share certificates and the register of members; particulars of directors and secretary; ownership declarations tracing every partner to natural persons, with certified identity documents; certificate of incorporation and board resolution of each corporate partner, notarised or apostilled where issued abroad; TIN registration.
Where assets rather than cash come in, add a valuation report and audited accounts of that business. Where land is involved, add the title, the survey plan and any derivative right. Where the venture is licensed, add the regulator’s written consent to the shareholding.
Where this file stalls
- A signed agreement behind articles nobody amended, so pre-emption does not hold against the buyer who matters.
- A contributed plot that turns out to be village land, with no granted right of occupancy behind it.
- A buy-out priced at “fair market value” with no valuer named and nobody empowered to appoint one.
- Offshore shareholder funding drawn before registration, found at the first interest payment.
- Two partners, two directors, no casting vote: a company that can only be wound up.
What has moved
Four changes have outdated older precedents: the 2020 arbitration reform above; beneficial-ownership disclosure as a standing obligation under Cap. 212 and its regulations; the 2022 investment statute, which reset the certificate thresholds; and the 2025 reserved list. Agreements written before them need a clause-by-clause re-reading, not a copy into the next venture.
Mandate-holders this file does not replace
BRELA owns the register, the filed articles and the ownership record on the Mainland; BPRA owns them in Zanzibar. TRA owns income tax, withholding and stamp duty across the Union, and ZRA owns Zanzibar’s non-Union taxes. The Fair Competition Commission owns merger clearance, the Tanzania Investment Centre and ZIPA own investment certificates, and the Mining Commission, BOT and TIRA own change-of-control consent in the businesses they license.
The advocate settles and witnesses the deed; the auditor signs the accounts every dividend clause depends on; the valuer prices a contributed asset. Zatra Consultants Limited prepares, structures and coordinates those filings. It does not practise law, audit or issue approvals.
What to confirm before you act
- That the activity is open to the proposed shareholders, and that any local-content minimum is met by the split.
- Whether the venture reaches the merger threshold, and which party files if it does.
- The applicable withholding rate for each partner, including treaty relief the foreign side intends to claim.
- The central-bank registration route for offshore shareholder funding, before drawdown.
- Who values the shares on exit, and who appoints that valuer.
- The Zanzibar position where the vehicle, the licence or the assets sit on the islands.
Frequently asked questions
Is the shareholders’ agreement filed at BRELA?
No. Only the memorandum, the articles and the statutory particulars become public. That is why anything meant to hold against an incoming shareholder must be mirrored in the articles.
Must a Tanzanian joint venture be a company?
No, but a partnership exposes the partners personally and carries less weight at the bank and the licensing desk. Large-ticket ventures use a limited company with a share register.
Is there a minimum local shareholding?
Company law sets none. Sector regulation does: mining-services ventures need an indigenous Tanzanian partner at 20% or more under the 2018 local-content rules, and the petroleum equivalent is 15%.
Does a new joint venture need Fair Competition Commission approval?
Where combined assets or turnover in Tanzania reach TZS 3,500,000,000, notification is required under Cap. 285. Confirm the order in force before assuming you sit below that line.
Can English law govern the agreement?
The parties may choose a governing law, but the company’s internal affairs still answer to Tanzanian company law, and natural-resource disputes must be heard here under the 2017 sovereignty legislation.
What if a partner will not fund a capital call?
Only what the document provides: dilution on the agreed formula, a default loan, or a forced sale of the defaulter’s stake. Silence leaves the paying side financing everything.
Does a change of shareholding trigger tax?
It can. Crossing the 50% underlying-ownership line is a deemed realisation under section 56 of Cap. 332, and the transfer instrument separately attracts stamp duty under Cap. 189.
