Hydropower Subcontracts in Tanzania: The Foreign-Contractor Operating File

This page is the contractor operating file for a foreign firm that has won, or is about to win, hydropower works as a subcontractor. It is not an EWURA generation-licence guide, not a solar-minigrid note, and not a construction-company promotional page. Those already exist.

Name, vehicle and the thing CRB will not give you

Two vehicles are available. They are not interchangeable.

Part XII of the Companies Act — foreign-company registration. The parent is registered to carry on business in Tanzania. The Tanzanian register carries the parent’s own registered name. The instrument is a certificate of compliance. The parent’s accounts are filed publicly here. Closure is a notice of cessation. Liability on the subcontract sits on the parent.

A Tanzanian limited company owned by the parent. The name can be a project name, subject to the Registrar. Affiliation is the shareholding. Liability on the subcontract sits on the subsidiary; a main contractor will usually answer that with a parent-company guarantee. Closure is a winding-up. The parent’s overseas accounts are not the Tanzanian public filing.

CRB’s published criteria for temporary foreign registration have historically listed a certificate of compliance among the required documents — the Part XII instrument, not a certificate of incorporation. Whether a Tanzanian-incorporated, foreign-owned company may use the temporary foreign route is a written CRB question, not a brochure inference. Ask it before you file. Incorporation does not confer local-contractor status. CRB looks at the citizenship of the principals.

Corporate tax is 30 per cent on either vehicle under current TRA orientation. That is not a reason to pick a vehicle. Name, liability, public filing and the CRB document list are.

The stack that actually unlocks the site

Tax. TIN, corporate income tax, VAT where the threshold is met, PAYE and withholding. Align the registered particulars with BRELA. A hydropower subcontract that invoices in dollars still has a shilling tax file.

Business licence and premises. Activity-to-licence mapping, a real address — site office or Dar es Salaam — and a stamped tenancy. A camp on the dam site is not automatically a registered office.

CRB contractor registration. For a foreign contractor this is typically the temporary foreign class. The pack is a company profile, project particulars, key personnel and credentials, plant and equipment, a multi-year experience record, a client or main-contractor support letter, an anti-bribery pledge, and an undertaking to wind up on completion. Confirm the live class and the live document list on the CRB portal. Class is earned by the works, not by the word “hydropower” on a slide.

CRB project registration. A second filing, inside the statutory window that runs from the letter of acceptance. Contractor registration without project registration is how a firm is lawful on paper and unlawful on the day it breaks ground. Confirm the live window. This page does not invent a day-count.

Bank. KYC on the entity, the ownership chart, beneficial ownership, the board resolution, the power of attorney, TIN, registered-office proof and an activity narrative. Approval is the bank’s. Settlement on a hydropower subcontract is usually the longest lead item after CRB.

People and employer registrations. Work and residence permits for the agreed expatriates, employment contracts, NSSF, WCF and OSHA, then payroll. A Class A investor permit is not a substitute for the staff who will pour concrete. Work and residence is its own desk.

When ERB, EWURA, NEMC and TISEZA join the file

ERB. Engaged if the works are electrical installation or engineering practice that the Engineers Registration Board regulates. A civil hydropower subcontract may never touch ERB. An electro-mechanical package will. Map the scope before you budget a second board.

EWURA. The energy regulator licenses generation, transmission, distribution and supply. A subcontractor executing someone else’s licensed project is not, by that fact, an EWURA licensee. If the vehicle will own or operate generation, that is a new file. Do not copy the solar-minigrid checklist onto a dam subcontract, or the dam subcontract onto a captive-power plant.

NEMC / EIA. Environmental documentation follows the project. A subcontract does not inherit a cleared EIA just because the main contractor has one, and it does not replace the project EIA just because the subcontractor is foreign. Confirm who holds the certificate and what the subcontract is allowed to do inside it.

TISEZA. Useful for incentives, a zone plot or facilitation. Useless as a substitute for CRB. Section 15 of the 2025 Act still wants investment registration before commencement if the activity is an “investment”; it still does not issue a contractor class. See the Act operating guide.

GN No. 487A of 2025 is separately reported as reserving scheduled activities to citizens. This page publishes no penalty figure. On-farm crop purchasing is the cashew example; construction and energy are their own reading. Get an advocate’s opinion against the gazetted schedule before a foreign-owned vehicle assumes a reserved activity is open.

Documents that have to be born abroad

A Chinese, European or Gulf parent will be asked for notarised corporate documents, a board resolution and a power of attorney, translated where the original is not English or Swahili. The resolution has to come from the organ that can actually bind the parent. A site manager’s letterhead is not that organ. Build the notary instruction in the home jurisdiction before you open the BRELA portal. That is sequencing, not theatre.

Build sequence

1. Get CRB’s written position on the vehicle — Part XII versus Tanzanian company — against the temporary-foreign document list.
2. Incorporate or register, then open the TRA file.
3. Licence the premises and the activity.
4. File CRB contractor registration against the real scope of works.
5. File CRB project registration inside the statutory window from the letter of acceptance. Do not mobilise first.
6. Open the bank and the people file in parallel. They are the long poles.
7. Add ERB, EWURA, NEMC or TISEZA only where the activity hits those mandates.

Nine phases that unlock the site — without a private quotation

Public contractor architecture for a foreign hydropower subcontract on the Mainland is a sequence, not a single CRB certificate. The phases below are the operating file. They are not a proposal, not a fee, and not a client timeline. Government and professional charges stay on their own lines; Zatra’s professional fee lives only on /pricing/. Approvals are not guaranteed.

Part XII versus a Tanzanian subsidiary is a name-and-liability choice, not a CRB upgrade. Register the parent if you need the parent’s own name on the Tanzanian register and the certificate of compliance CRB has historically listed for temporary foreign registration. Incorporate a subsidiary if you need a project name and a local liability box — and then obtain CRB’s written position on whether that vehicle may use the temporary-foreign route. Where contractor files actually fail

Mobilising before project registration. The letter of acceptance starts a clock. Works started inside that window without the second CRB filing are the failure mode this page exists to prevent.

Assuming a Tanzanian company is a local contractor. CRB looks at the citizenship of the principals. Foreign-owned is foreign-classified.

Copying an EWURA generation checklist onto a subcontract, or a solar-minigrid checklist onto a dam. EWURA licenses generation, transmission, distribution and supply. Executing someone else’s licensed project does not, by that fact, make you a licensee. The solar minigrid page owns that conversation.

Inheriting an EIA you have not read. A subcontract does not inherit a cleared certificate just because the main contractor has one. Confirm who holds it and what the subcontract is allowed to do inside it.

Currency of this file

Contractor classes, temporary-foreign document lists and project-registration windows are CRB instruments and move. Energy licensing is an EWURA instrument and moves.
