Tanzania Market Entry: Structure and Licences Before Sales
What is the actual order for entering Mainland Tanzania? A legal person at BRELA, a TIN at TRA, a screen of the Business Licensing (Prohibition of Business Activities for Non-Citizens) Order, GN No. 487A of 28 July 2025, if any founder is a non-citizen, then the sector class the live regulator names, then TISEZA registration under section 15 of the 2025 Act before commencing investment where that Act applies. Order that survives a query
- Write the activity as a class, not a slogan.
- Form the company (or decide a branch). Open TRA.
- Screen GN 487A if ownership is foreign. Take a written opinion where the activity is close to a reserved item — this page publishes no penalty.
- Take the sector class (Mining Commission, TALA, TFRA, BOT, TIRA, Cashewnut Board, OSHA workplace) before you sell.
- Register with TISEZA before you commence investment if section 15 applies. A certificate is not the sector class.
- Then sales, then hiring (work and residence permits).

Capital rumours are not the first instrument
Minimum capital, where it exists, is a sector or TISEZA conversation — not a BRELA incorporation fee. The 2025 Act’s strategic-investor floors (USD 20 million domestic / USD 50 million foreign in the English text) are a Cabinet file, not a kiosk. Ordinary companies still start at BRELA with the capital the constitution states. Confirm live. Do not freeze a “USD 500,000 TISEZA” figure from a blog as the 2025 Act’s own section — those circulating thresholds belong in regulations, which this page will not invent.
Demand tests before letterheads
A market slide is not a Companies Act vehicle. Decide whether you need a branch, a subsidiary or a local company — the structure page — then screen Government Notice No. 487A of 2025 against the objects, then take the sector class. Sales trips on visitor visas are not a market-entry licence. Confirm brela.go.tz for the vehicle and the sector portal for the class.

Pilot sales are not a vehicle
A pop-up, a distributor handshake and a visitor-visa roadshow are not incorporation. If you will invoice from Tanzania, you need a person TRA knows. If you will employ, you need Labour. If the activity is reserved under Government Notice No. 487A of 2025, a local partner memorandum is not a waiver unless the live instrument says it is.
Branch versus subsidiary versus new local company is the structure sibling. TISEZA is later. Mining, cashew, construction and insurance each add a sector class before the first sale.
