Steps to Register a Business in Tanzania: BRELA, Then TIN, Then the Class

What is the real sequence to register a Mainland business? Reserve and incorporate at BRELA under the Companies Act, open a TIN at TRA in the same name, take an ordinary business licence where the live rules still require one, then the sector class if the activity is regulated. A business name (sole trader) is not a company. A TISEZA paper is not incorporation. The 301 twin mastering-business-registration-in-tanzania stays a redirect here. Confirm brela.go.tz.
This page is the registration sequence. It is not the foreign-documents checklist, not the Dar-desk sales page, and not a restoration of “mastering registration.”
- Foreign attachments — documents pack
- TIN — TRA identity
- Market-entry order — structure then licences
As at 10 September 2026. ORS field names move. Print the live BRELA form.
Sequence that matches the portals
- Name search / reservation as the live ORS requires.
- Constitution, directors, shareholders, registered office — one story.
- Incorporate. Pull the extract the same week.
- TIN in that exact name.
- Ordinary business licence if still required for the activity.
- Sector class before trading (the specialist board).
- Bank pack. Do not promise an account in seven days on a blog.
| Skip | Query you will get |
|---|---|
| Objects clause that does not match the sector class | BRELA or the board |
| TIN in a trading name | TRA / bank |
| Foreign founder, no notarised IDs | BRELA attachments sibling |
| Zanzibar activity on a Mainland company | BPRA |
There is no lawful “same-day company plus mining licence plus bank” product. Anyone selling that is selling a slogan. Fees: BRELA’s live schedule, TRA’s live schedule, Zatra only on /pricing/.
What the extract has to match next week
Directors’ names, the registered office, and the shareholding on the BRELA extract are what TRA, the bank and Immigration will copy. A “trading as” stamp that is not on the extract is a second identity. Change it at BRELA first. The 301 twin “mastering business registration” is not a second sequence — it redirects here.
Name search is not incorporation
A reserved name expires. Incorporating is a further ORS step: constitution, directors, shareholders, registered office, beneficial ownership as the live companies regulations require. Pull the extract the same week you finish. A name reservation PDF is not a company. A business name (sole trader style) is a different BRELA product — it is not a Companies Act company and will not carry a mining licence or a work-permit employer line. Confirm brela.go.tz and the live ORS host. This page reprints no shilling fee and no “same-day” SLA.
Foreign founders need the attachments the documents keeper names. Notarised IDs that do not match passport spelling stall the file. Nominee stories that disagree with the bank pack stall the next file. A TISEZA letter is not an attachment that replaces those. TISEZA registration is later, and only where the project qualifies. It does not incorporate you.
Objects, reserved activities and the sector class
A wide object clause can collide with Government Notice No. 487A of 2025 on reserved activities. Screen the objects before you print letterheads. Then map the sector class the activity actually triggers — Mining Commission, CRB, Cashewnut Board, TIRA, TOSCI — not “general trade.” Ordinary business licences, where the live rules still require them, sit after the TIN and before you trade. They are not the sector class.
Zanzibar activity on a Mainland company is the wrong registry. BPRA owns island identity. Do not photocopy this sequence onto Unguja. A Dar extract with an Unguja shop is two stories. File the island person if the workplace is the island.
| Step | Desk | Not done yet |
|---|---|---|
| Name reservation | BRELA ORS | The company |
| Incorporation + extract | BRELA | Tax identity |
| TIN | TRA | VAT, PAYE, licence |
| Ordinary licence if still required | Live licensing host | Sector class |
| Sector class | The board that owns the activity | Bank account |
| Bank pack | The bank | A mineral right |
What ‘registered’ has to mean by Friday
Extract, TIN, ordinary licence if still required, sector class if regulated, and a bank that will take the first payment. Missing any one is not registered in the operating sense. There is no lawful same-day company-plus-mine-plus-account product. Anyone selling that is selling a slogan. BRELA and TRA fees are live schedules. Zatra only on /pricing/.
Directors’ names, the registered office and the shareholding on the extract are what TRA, the bank and Immigration will copy. A “trading as” stamp that is not on the extract is a second identity. Change it at BRELA first. Beneficial-ownership filings belong where the live companies regulations still ask. Skipping them is how the next bank pack dies.
The 301 twin mastering-business-registration-in-tanzania stays a redirect here. It is not a second sequence. As at 11 September 2026, print the live ORS form before you brief a board on “days to incorporate.”
Beneficial ownership and a registered office that can receive mail
The live companies regulations still want beneficial owners named. A nominee story that the bank cannot explain is how onboarding dies after the extract looks fine. The registered office has to be a place mail can reach — a virtual desk that vanishes is how strike-off later starts. Confirm the live ORS fields. This page reprints no courier-day count.
Ordinary licences, where they still exist, are not the sector class. A Cashewnut Board buying class, a CRB grade, a Mining Commission right and a TIRA class each sit on their own portal. Map them after the TIN and before you trade. Government Notice No. 487A of 2025 still screens objects that say “general trade” while the activity is reserved.
Island activity is BPRA. The 301 twin on “mastering registration” stays a redirect. Professional fees on /pricing/. As at 11 September 2026, registered means extract plus TIN plus the class the activity actually triggers.
Company versus business name versus branch — pick one person
A Companies Act company is a legal person. A business name is a style a sole trader or partnership trades under — it is not that person and it will not carry a mineral right or a work-permit employer line. A registered foreign branch is a different BRELA product with its own TIN. Pick one before you reserve a name. Confirm brela.go.tz. This page reprints no fee.
Foreign founders still need the documents sibling. Island founders still need BPRA. Objects still need the Government Notice No. 487A of 2025 screen. Sector classes still sit after the TIN. The bank still wants the extract and the TIN to match. The 301 twin on mastering registration stays a redirect. As at 11 September 2026, pick the person, then incorporate that person, then tax that person, then class the activity.
What to write in the board minute the week you incorporate
Name the extract date. Name the TIN. Name the ordinary licence if still required. Name the sector class if regulated. Name that TISEZA is not incorporation. Name that no fee is guessed. Name that Zatra’s fee, if we are on the file, is only on /pricing/. Approvals are not guaranteed. Same-day mine-plus-company is still a slogan.
