Customer Due Diligence in Tanzania: The Bank File and Registry File

Direct answer

Who runs customer due diligence on a Tanzanian company, the bank or the registrar? Both, on different tests. A bank is a reporting person under the Anti-Money Laundering Act, Cap. 423, supervised by the Bank of Tanzania under the Banking and Financial Institutions Act, Cap. 342. It must identify the natural persons behind a corporate customer, screen for political exposure, evidence source of funds and monitor the account afterwards. The registrar holds a separate beneficial-ownership return under the Companies Act, Cap. 212. That filing does not close the banking file, and the banking file never reaches the registrar. Confirm the live position at fiu.go.tz and brela.go.tz.

This page is the corporate due-diligence operating file: what a Tanzanian bank must establish about the people behind a company before an account number exists, and how that differs from the ownership record the registrar keeps. It is not a compliance manual, nor a substitute for the officer who signs the opening decision.

As at 14 September 2026. Confirm reporting-person guidance with the Financial Intelligence Unit at fiu.go.tz and the return format at brela.go.tz. This file rests on Cap. 423 and its Regulations, Cap. 342, and Cap. 212.

Two files on one company, two definitions of owner

Cap. 423 makes a bank a reporting person. The Financial Intelligence Unit, under the Ministry of Finance, receives suspicious transaction reports and issues guidance; the Bank of Tanzania supervises whether an institution applies it. The registrar’s mandate differs in kind. Under Cap. 212 a company keeps a register of beneficial owners and lodges the matching return online. That record serves transparency; the banking record exists so an onboarding decision survives supervisory review years later.

Both files can therefore be accurate and still disagree. A registrar takes what a director declares. A bank verifies it independently, from primary documents, and keeps the evidence.

Mainland and Zanzibar split here. Anti-money-laundering law and banking supervision are Union matters: one Act, one intelligence unit, one central bank, across both. Company registration is not: BRELA registers Mainland companies, BPRA registers Zanzibar ones. A Zanzibar company banking in Dar es Salaam meets an identical statutory test, but its registry extract comes from BPRA. Its TIN still issues from TRA, income tax being Union; non-Union taxes sit with ZRA.

What each desk takes as proof

What is being establishedWhat the bank acceptsWhat the registrar records
Identity of a natural personNIDA card for a citizen; passport and residence permit for a non-citizen; original sighted at the counterName, nationality, identification number, as stated
Residential addressRecent tenancy agreement, utility bill or ward-office letterPostal and physical address, untested
Ownership chainShare register at every tier, papers for each intermediate entity, a signed structure chartOnly the persons declared for the Tanzanian company
Control held without sharesBoard minutes, shareholders’ agreement, signing mandate, veto rightsNature of control, in the field provided
Source of fundsStatements, sale agreements, audited accounts, tax receiptsNothing: money sits outside that mandate
Political exposureDeclaration plus screening against commercial and public listsNothing

Control first, percentage second

The statutory definition of a beneficial owner rests on ultimate ownership or control by a natural person. No percentage appears in it. The 25% most Tanzanian banks screen at is policy, imported from the example figure in Recommendation 10 of the Financial Action Task Force. Reading that screen as law produces errors in both directions.

A holder below it who alone signs the mandate, appoints the managing director or funds working capital qualifies regardless of arithmetic. A passive holder above it adds a name without adding risk. Where the chain yields nobody, the file falls back to the senior managing official. A nominee is never the answer: a nominee holds for someone, and both desks want that someone, named.

Political exposure and the other escalation triggers

The category covers foreign, domestic and international-organisation officials, with immediate family and close associates. Domestic exposure reaches past the cabinet: boards of public corporations, senior military, police and judicial officers, party officials, heads of parastatals. Exposure is not a bar. It shifts the file to head-office sign-off, source-of-wealth evidence and a tighter review cycle.

Other facts that push a corporate file into enhanced diligence:

Source of funds against source of wealth

Separate questions, separate paper. Source of funds is where this particular money sat immediately before arrival. Source of wealth is how a person accumulated assets across a working life. Branches ask the first at every large credit and the second once enhanced diligence is running.

Paper that works: a sale agreement with the transfer instrument and proof the gain was taxed; audited accounts with the dividend resolution and withholding evidence; a facility agreement with the lender’s statements; letters of administration or a grant of probate. Paper that does not: a covering letter asserting savings, or a wire from a third party with no documented link to any shareholder. That last one stops the credit, not merely the relationship.

The order the desks take it

  1. Settle the structure before anything is filed. Rearranging a cap table afterwards means a second return and a re-papered pack.
  2. Incorporate and collect the registry papers. Certificate of incorporation, memorandum and articles, and the particulars of directors and secretary as filed: BRELA for the Mainland, BPRA for Zanzibar.
  3. Lodge the ownership return. Cap. 212 obliges the register of beneficial owners, and the extract a bank later pulls must agree with what the branch was told.
  4. Register with TRA. A TIN for the company and one for each director; the certificate is a standing requirement everywhere.
  5. Take out the business licence. Issued under the Business Licensing Act, Cap. 208, by the local authority or responsible ministry, plus any sector licence.
  6. Pass a board resolution naming the institution, the product, the signatories and their limits. A generic resolution naming no bank comes back.
  7. Submit the pack and sit the interview. Originals are sighted and signatures taken; exposure, a foreign tier or an odd opening credit routes the file past the branch to compliance.
  8. Paper the first credit before it lands. Send the funding bundle ahead of the transfer; money that arrives first waits in suspense.

The documents the file needs

Entity papers: incorporation certificate; memorandum and articles; a current company extract; the directors and secretary return as filed; acknowledgement of the ownership return; TIN certificate; business and sector licences; the account-opening resolution; accounts where trading has begun; title or tenancy for the premises.

Person papers, for every director, signatory and owner: NIDA card for citizens; passport bio-data page and the residence permit (Class A, B or C) for non-citizens; photographs; specimen signature card; proof of address; a written exposure declaration; and, under enhanced diligence, a curriculum vitae with the wealth narrative behind it. Foreign documents are notarised at origin and legalised as the institution requires.

Illustrative arithmetic: tracing a cap table to a named person

Illustrative arithmetic, not a quotation. A Mainland company has share capital of TZS 100,000,000 divided into 100,000 shares of TZS 1,000 each. A foreign holding company takes 60,000 shares, one local investor 22,000 and a second 18,000. The holding company is owned by Mr D at 50%, Ms E at 30% and a family trust at 20%.

Multiply through. Mr D reaches 30% indirectly, an economic interest of TZS 30,000,000, crossing a 25% screen. Ms E reaches 18% and does not, but she chairs the board with a casting vote, so the control limb catches her. The 22% investor sits below the screen and signs the mandate alone: also an owner. The 18% investor is passive and contributes only a name.

Funding follows. Shareholders inject TZS 850,000,000: TZS 500,000,000 from a property sale, papered by the sale agreement and tax receipt, and TZS 350,000,000 from retained dividends, papered by accounts and the declaring resolution. A screen-only reading of this table names one person. The file names four.

Monitoring that runs behind the open account

Diligence is not an opening event. Each customer carries a risk rating setting how often the file is refreshed; that interval sits in bank policy, not in the Act. Some facts force a review regardless of cycle: changed shareholding, a new signatory, an expired passport, a transfer out of pattern, a trade the account was not opened for.

Transaction monitoring produces alerts. An alert may become an internal report to the money-laundering reporting officer and, from there, a suspicious transaction report to the Unit. Because tipping off is a statutory offence, nobody at the counter will confirm that such a report exists. Records are retained for a minimum period after the relationship ends; the Act fixes it, and the Unit states the live number before anything is destroyed.

Where this file stalls

Off the grey list since June 2025, and what did not change

The Financial Action Task Force placed Tanzania under increased monitoring in October 2022 and removed it at the plenary of 13 June 2025, the action plan having been completed. The Eastern and Southern Africa Anti-Money Laundering Group, the regional body, is headquartered in Dar es Salaam, and follow-up reporting continues after delisting.

What moved is the correspondent-banking question on an inward transfer: fewer standing queries, shorter holds. What did not move is the pack demanded at the counter. Ownership evidence hardened rather than relaxed, because delisting rested on exactly that. Anyone expecting lighter onboarding from the June decision has misread which desk it addressed.

Desks this file does not replace

The Financial Intelligence Unit owns reporting-person guidance and the reporting channel. The Bank of Tanzania supervises institutions and, separately, currency under the Foreign Exchange Act, Cap. 271. BRELA and BPRA own the ownership return in their jurisdictions. TRA owns the TIN, NIDA the national identification number, Immigration the residence permit, and the Prevention and Combating of Corruption Bureau its investigative mandate. Proceeds of crime sit under Cap. 256.

The opening decision belongs to the institution’s compliance function alone. Zatra prepares, structures and coordinates the pack, and states the hand-off where an advocate, notary or licensed auditor is required. It does not practise law, audit, or approve an account, and no outcome is guaranteed.

What to confirm before you act

Frequently asked questions

Does lodging the ownership return satisfy the bank?

No. One is a declaration; the other is verification a supervisor can inspect. Expect the branch to rebuild the chain from source papers even where the registrar already holds a current filing.

Is there a percentage that makes someone a beneficial owner here?

Not in the legislation, which speaks of ultimate ownership or control. The quarter-share threshold banks apply comes from their own risk policy, echoing an illustrative figure in the global standard-setter’s guidance.

Can a nominee shareholder be recorded as the owner?

No. Nominees hold on behalf of others, and it is that other party both desks require. A branch will normally insist on reading the underlying agreement rather than accepting an oral account of it.

Will being politically exposed stop the account?

Rarely. Exposure triggers escalation, wealth substantiation and frequent refreshes. Applications fail where the money cannot be traced to a lawful origin, which is a different problem from holding public office.

Will the bank say whether it has reported my account?

No. Disclosure to the customer is prohibited by statute. Silence or delay confirms nothing either way, and escalating produces no account of what compliance is examining.

Does a Zanzibar company face a different test?

Not on the anti-money-laundering side, which is Union law with a single intelligence unit and central bank. Only the registry differs: BPRA holds the Zanzibar file where BRELA holds the Mainland equivalent.

How far up an offshore structure does a bank trace?

To the individuals at the top, however many tiers intervene. Every layer must produce its own incorporation papers and share register, notarised abroad and legalised to the institution’s standard.
