Beneficial Ownership in Tanzania: The Registrar File Is Not the Bank File

operating subject: Beneficial Ownership in Tanzania
A red folder: beneficial ownership is a trail, not a nominee slogan. Caption date: 10 September 2026. A photograph is not a filing.
Direct answer

Beneficial Ownership in Tanzania? Tanzania asks who stands behind a company in at least two places: the registrar’s beneficial-ownership filing under the companies framework, and the commercial bank’s AML/KYC file under BOT standards. Those packs overlap and are not copies. A citizen nominee on the BRELA form with a SWIFT from a foreign parent is a contradiction. This page publishes no BO threshold percentage as a frozen number. Confirm the live regulations. Confirm brela.go.tz and the bank’s current list. GN 487A look-through to control is a third screen on reserved activities.

This page is the two-desk beneficial-ownership operating file: BRELA’s companies filing versus the bank’s AML file. It is not a GN 487A list and not a source-of-funds trail. Those are siblings.

As at 10 September 2026. Confirm brela.go.tz and the bank’s live list. This page publishes no frozen ownership-percentage threshold.

Two questions that look the same

BRELA asks who the beneficial owners are on a statutory form with a live timetable. The bank asks who it is dealing with, where the money came from, and whether the customer is who they say. A filing that names a citizen nominee while the SWIFT comes from a foreign parent fails both, for different reasons. Align the people before you file either pack.

BPRA companies file on the Zanzibar registrar. Do not send a BRELA BO form for a Stone Town company because the template was handy.

Nominees are not a structure

PatternWhat the desks seeBetter path

Sequence

  1. Name the natural persons who own or control.
  2. Screen reserved activities if those persons are non-citizens.
  3. File BO on the live registrar process.
  4. Give the bank a reconcilable pack.
  5. Update both when the cap table changes.

Where this file stalls

Documents this file usually needs

Cap table; passports of natural persons; holdco extracts; source-of-funds trail; the live BRELA BO form; the bank’s KYC list. If a person is a PEP, write it. If a person is a nominee, write the agency, and then ask why the nominee exists. Confirm the live regulations for who must be named.

What this page will never publish

A frozen percentage threshold. A penalty figure. A statement that banks accept nominees because BRELA did, or the reverse. Confirm brela.go.tz.

Failure modes the officer already knows

Filing BO late and hoping the bank will not ask. Using a driver as a shareholder. Changing owners in a SPA and leaving BRELA on last year’s names. Treating FATF-grey-list history as if it waived BO: Tanzania’s removal from that list is a different slug.

Operator calendar

At incorporation: BO. At each share change: BO update on the live timetable. At bank onboarding and each refresh: KYC. The two calendars should match. If they do not, stop and reconcile.

What to put in the board minutes

Write the natural persons, that nominees will not be used to look local, and that BRELA and the bank will be told the same story. If GN 487A may apply, write that the activity was screened.

What a declined pack usually looked like

A citizen on the register, a foreign parent on the SWIFT, and a BO form that names the citizen. That pack is a contradiction. Rebuild ownership before either desk.

As-at 10 September 2026: what this desk will not freeze

Thresholds, form numbers, filing clocks. Print brela.go.tz the week you file. Bank lists move independently.

Cross-links without contradicting keepers

Source-of-funds is the money trail. Restricted-list is the activity screen. CGT/share-sale pages update the cap table. GN 487A hedge is unchanged: reported Order, look-through to control, local incorporation reported not to cure, no penalty figure.

Worked path: clean parent versus nominee ‘local partner’

A foreign parent that owns 100% of a BRELA company, files BO in the parent’s natural persons, and remits capital from the parent’s account is the boring pack. The bank sees the same people. TISEZA, if used, sees the same people. Immigration sees the same people. Boring is the point.

A citizen ‘local partner’ with 51% on the register, a side letter that says they hold for the foreigner, and a SWIFT from Dubai is the contradiction. BRELA BO, bank AML, and reported GN 487A look-through all get worse, not better. Unwind it with advice or do not start it. This page will not draw a nominee structure.

Updates after a share sale

BO that is filed once at incorporation and never touched is how year-three KYC fails. Share sales, new parents, and deaths of shareholders are update events on the live timetable. Confirm brela.go.tz. The CGT page is the tax slice of the same sale. The buy-company page is the diligence slice.

BPRA companies file on the island. A BRELA form for a Stone Town company is the wrong registrar. Banks in Dar still want a reconcilable story for a Zanzibar person.

Thresholds without a frozen number

Who counts as a beneficial owner is a live regulation. Other countries’ 25% folklore is not Tanzania’s row until you confirm. This page will not freeze a percentage. If you are near a threshold, take advice rather than rounding yourself out of the form.

PEPs, sanctions, and source of wealth sit in the bank file even when BRELA is satisfied. The inward source-of-funds page is that trail. Do not send the bank a BO form and call it KYC.

As-at 10 September 2026: two-calendar discipline

Print brela.go.tz the week you file or update. Print the bank’s list the week you onboard or refresh. If they disagree, reconcile people before you argue with either officer. FATF-grey-list history is a different Insights slug and does not waive BO.

GN 487A hedge is unchanged: reported Order, look-through to control, local incorporation reported not to cure, no penalty figure. A local nominee does not open a reserved class.

What the bank will ask that the BRELA form never asked

Source of wealth, source of this transfer, PEPs, and whether the people on the form match the SWIFT. A BO filing answers the registrar. It does not finish KYC. Send the bank the trail. Send BRELA the form. Keep the names aligned. Confirm brela.go.tz and the bank list independently. They move on different calendars.

Thresholds are live regulations. Do not freeze another country’s 25%. If you are near a line, take advice. Nominees that hide a foreign controller collide with BO and with reported GN 487A look-through. Do not start that pattern.

After the cap table moves

Share sales, new parents, and deaths are update events. File BO on the live timetable. File CGT on the live TRA process. Tell the bank. Three desks, one sale. The buy-company page is the diligence sibling. The CGT page is the tax sibling.

BPRA for Zanzibar persons. BRELA forms do not file themselves on the island. FATF-grey-list history does not waive BO. Zatra’s fee is on /pricing/.

Close-out as at 10 September 2026: two BO desks

Print brela.go.tz the week you file or update. Print the bank’s KYC list the week you onboard. Align the natural persons with the SWIFT. Do not freeze another country’s percentage. Nominees that hide foreign control collide with BO and with reported GN 487A look-through. BPRA for Zanzibar persons. Share sales update BO, CGT and the bank. FATF history does not waive BO. Zatra’s fee is on /pricing/. If a later regulation rewrites who must be named, the regulation wins.

Worked failure: citizen on the form, Dubai on the SWIFT

BRELA names a citizen. The bank sees a foreign parent’s transfer. TISEZA, if used, sees a third story. That pack is a contradiction, not a structure. Name the natural persons. File BO on brela.go.tz. Give the bank the same people plus the trail. Screen reported GN 487A if the activity is reserved. Nominees make it worse. BPRA for Zanzibar persons. No frozen percentage here. Share sales update BO, CGT and the bank. Zatra’s fee is on /pricing/.

If BRELA and the bank already disagree, reconcile names before the next filing or the next SWIFT. Do not file a ‘corrected’ BO that still hides a controller. Confirm brela.go.tz. Screen reserved activities if control is foreign.
