Arbitration or Litigation: Decide It in the Tanzanian Contract

Direct answer

Arbitration or litigation in a Tanzanian commercial contract? The clause settles it, not the breach. On the Mainland the Arbitration Act, 2020, in force 18 January 2021, governs arbitration, and its section 13 makes a court stay a suit brought in breach of a valid arbitration agreement. Court claims run under the Civil Procedure Code Cap. 33, larger ones in the High Court Commercial Division. Employment, land, tax, procurement and natural-resource disputes already have statutory homes. The usual stall is an agreement carrying two forums, one in the terms and one in a schedule.

This page is the dispute-clause operating file: which forum, seat, rules and language a contract names at signature. It is not an enforcement manual and not a substitute for an advocate settling the wording.

As at 14 September 2026. The Arbitration Act, 2020 and its 2021 regulations are gazetted; the Commercial Division registry holds the live court fee schedule and tra.go.tz the tax treatment of fees.

Who holds the mandate over a dispute clause

The governing statute took effect on 18 January 2021 and repealed the Arbitration Act Cap. 15 R.E. 2002. Section 13 covers stay of legal proceedings: where a valid agreement to arbitrate exists, the judge returns the parties to it. Three 2021 instruments sit beneath it: the Arbitration (Rules of Procedure) Regulations, the Tanzania Arbitration Centre (Management and Operations) Regulations, and the Practitioners Accreditation Regulations. No Government Notice number appears here unverified.

Court claims follow the Civil Procedure Code. Smaller ones begin in the magistracy on the pecuniary ladder in the Magistrates’ Courts Act Cap. 11, whose ceilings have risen by amendment more than once. Confirm the live figure. Appeals lie to the Court of Appeal under the Appellate Jurisdiction Act Cap. 141.

Administration of justice is not a Union matter. A contract performed in Zanzibar belongs to the High Court of Zanzibar and the islands’ own instruments, though civil appeals still reach the Court of Appeal. Naming the Mainland bench in an Unguja lease is a drafting defect.

Where the forum is not yours to choose

Screen the subject matter before the forum. Some disputes have a statutory home private drafting cannot displace.

Foreign shareholders have a prior question: if the activity is reserved by GN No. 487A of 2025, the dispute wording is moot.

Seat, venue and governing law, and the routes they produce

The seat is the arbitration’s legal home: it fixes which court supervises the tribunal, orders interim relief and hears a challenge to the award. The venue is only the room; the governing law of the contract is a third choice, and the law of the arbitration agreement a fourth. Tanzanian law can govern a contract seated in Dar es Salaam with hearings in Nairobi; “arbitration in London under the Arbitration Act, 2020” cannot.

Give the seat a city and a country. Tanzania is a party to the 1958 New York Convention, so a local seat travels; recognition abroad is a sibling file.

Rules, arbitrators and the language of the record

Institutional rules buy an appointing authority, a fee scale and a secretariat that chases deadlines. An ad hoc reference under the UNCITRAL Rules is cheaper only where the named appointing authority still operates. Construction contracts here commonly adopt the National Construction Council’s rules; the Tanzania Arbitration Centre, created by Part X, has its own.

Silence hands the drafting back to the statute. Sections 17 and 18 allow 28 days to appoint a sole arbitrator and 14 days where more than one is required. Confirm the live text before relying on either.

Three arbitrators cost close to three times one; one suits a supply contract. Qualification wording drafted too tightly (a named body, a minimum of years, a nationality) empties the pool on the day.

Language sets the cost of the record. Cap. 11 and the Judicature and Application of Laws Act Cap. 358 govern the language of proceedings, and Kiswahili use in court has widened; in arbitration you choose. Where the contract is in Kiswahili, an English reference means certified translation of every exhibit.

What each route bills before anyone wins

A suit opens with an ad valorem filing fee on the value pleaded; the registry holds the live schedule, and none is published here. Arbitration inverts that: nothing goes to the State, but the parties carry the tribunal, the administering body and the venue from week one. A respondent withholding its half of the deposit leaves the claimant paying both.

Two tax lines belong in the clause conversation, not the first invoice. Fees from a VAT-registered arbitrator, advocate or institution carry VAT at the standard rate of 18% under the VAT Act Cap. 148. Service fees carry withholding under the Income Tax Act Cap. 332: 5% resident, 15% non-resident; confirm the live schedule on tra.go.tz. Foreign tribunals contract net, so the local payer carries it on top.

What the calendar really looks like

Choosing a forum does not stop the limitation clock. A suit founded on contract must be brought within six years under the Law of Limitation Act Cap. 89, First Schedule. Serve the notice of dispute in time even while escalation runs.

Court-annexed mediation comes before a commercial suit is heard, and it does close files. Appeal is what lengthens the court route: first instance is one stage of three. Arbitration’s advantage is finality, recourse being confined to the narrow grounds the Act allows; its exposure is the set-aside application, which returns the matter to a judge. An escalation step worded “the parties shall meet in good faith” becomes a jurisdictional objection two years later: give it a trigger and a day count.

Illustrative arithmetic: one TZS 1.8 billion supply dispute

Illustrative arithmetic, not a quotation. A Dar es Salaam manufacturer claims TZS 1,800,000,000 for plant never delivered. The assumed fees are invented; the rates are not.

Clause A names three arbitrators, a foreign seat and a foreign institution. Assume tribunal and administration charges of TZS 240,000,000, of which TZS 180,000,000 goes to non-residents. Withholding at 15% on that portion is TZS 27,000,000. Because the tribunal contracts net, the payer grosses up: 180,000,000 ÷ 0.85 = TZS 211,764,706, adding TZS 31,764,706 before a witness is heard.

Clause B names a sole arbitrator sitting in Dar es Salaam. Assume charges of TZS 60,000,000. Withholding at 5% is TZS 3,000,000, and VAT at 18% adds TZS 10,800,000, which a registered claimant recovers as input tax. Wording drafted in an afternoon moved roughly TZS 200,000,000 of cash flow.

The order a dispute clause gets drafted in

  1. Classify the subject matter. Resources, employment, land, tax, procurement: if a statute already owns the dispute, drafting stops here.
  2. Fix the governing law. Local law for a contract performed locally, unless the counterparty’s security package requires another.
  3. Pick one forum and delete the other. A tribunal and a jurisdiction clause in one agreement is the defect this desk meets most often.
  4. Name the seat as a city and a country, and the rules and appointing authority by their current titles.
  5. Check the institution still takes cases under the rules edition you cited.
  6. Set the number of arbitrators and the language, and say who bears costs.
  7. Price it: deposits, VAT, withholding, travel, translation, and put the figure to the board before execution.
  8. Have an advocate on the roll settle the wording. The Advocates Act Cap. 341 owns the signature.

Papers the clause stands on

Name both parties exactly as BRELA or BPRA has them registered; binding “XYZ Ltd” where the register reads “XYZ Company Limited” invites a preliminary objection. Keep with the executed agreement the board resolution authorising it; every annexure, purchase order and site instruction carrying terms of its own, since a second forum hiding in a delivery note defeats the first; a service address with a named recipient; and the notice of dispute with proof of delivery.

Once a reference begins the file adds appointment letters, each arbitrator’s declaration of independence, the terms of reference, and translations where the paperwork ran in Kiswahili. Quantum is proved from ledgers, so the accounting file joins on day one.

Where the clause fails

What moved since the 2020 Act

The statute and its regulations replaced a framework standing since Cap. 15 R.E. 2002, introduced accreditation for arbitrators and mediators, and created the Tanzania Arbitration Centre. Agreements drafted before 2021 that point at “the Arbitration Act, Cap. 15” now cite a repealed instrument; the reference usually survives construction, but correct it at the next amendment. The 2017 resource statutes remain the hardest limit on forum choice.

Mandate-holders this file does not replace

An advocate on the roll settles the final wording and holds the right of audience. The Commercial Division registry sets filing fees and case timetables. The Tanzania Arbitration Centre and the National Construction Council administer references under their own rules. CMA, the land tribunals, TRAB and PPAA own the disputes that never reach private drafting. TRA owns the tax treatment of fees paid in a reference, and duty on the instruments sits under the Stamp Duty Act Cap. 189. Zatra prepares, structures and coordinates; it does not practise law or arbitrate.

What to confirm before you sign

Frequently asked questions

Can one contract name both a court and a tribunal?

It can, and it should not. The pair buys a preliminary argument over which governs before anyone reaches the merits. Choose one, then sweep every annexure for the loser.

Will an arbitration clause bind an employee?

Not against the statutory route. Whatever a contract of service provides, the employee may still file at the CMA, and a private award will not bar that referral.

Dar es Salaam or Nairobi as the seat?

Dar es Salaam where the assets, witnesses and documents are here: supervision, interim orders and travel stay local. A foreign seat is a funding decision before a legal one.

What if we say nothing about appointing arbitrators?

You inherit the statutory default and its deadlines. That decides how many arbitrators sit, who selects them and by when: each of which drives cost. Fix it expressly.

Can a gas or mining contract be arbitrated in London?

Read the 2017 permanent-sovereignty legislation with your advocate first. It sends resource disputes to bodies constituted here under local law, and its companion statute reopens such terms.

Does a Zanzibar contract sit under the same statute?

No. Justice is not a Union subject, so an islands file follows Zanzibar’s own courts and instruments. A supervisory bench named wrongly surfaces when interim relief is needed.
