TRA Advance Ruling Tanzania: Private Rulings, Class Rulings and Customs Rulings Before You Commit

Can a business get a binding TRA advance ruling before it commits to a transaction? Yes. Sections 11 to 14 of the Tax Administration Act, Cap. 438 let the Commissioner General issue a private ruling that binds TRA on full disclosure. Section 248A of the EAC Customs Management Act adds a customs ruling on classification, origin or valuation, issued within 30 days and valid up to 12 months.
This guide explains how a TRA advance ruling works on the Mainland, from the written application to the binding notice. It covers private and class rulings under the Tax Administration Act, practice notes, customs advance rulings, refusal, revocation and objection, the separate position in Zanzibar, and a costed example where a ruling protects TZS 450 million of withholding tax.
Who should read this
- Finance directors and tax managers planning a transaction where the tax answer is unclear and the amount at stake is large.
- Groups restructuring in Tanzania, such as a merger, an asset transfer, a change of shareholding or a new holding company.
- Payers to non-residents who are unsure whether withholding tax applies to a fee, licence or reimbursement.
- Suppliers with a VAT question, such as whether a supply is exempt, zero-rated or standard-rated.
- Importers and exporters who need certainty on a tariff line, the origin of goods or the valuation method before shipment.
- Businesses in Zanzibar, where the Zanzibar Revenue Authority runs a separate system for Zanzibar taxes.
Readers weighing the wider planning picture should start with our guide to tax advisory and planning in Tanzania.
What the law says
Two instruments carry the Mainland rules. The Tax Administration Act, Cap. 438 R.E. 2023, published by TRA, governs domestic tax rulings. The Tax Administration (General) Regulations, GN 101 of 2016 set the procedure in Part IV. Customs rulings sit in the EAC Customs Management Act, 2004, as amended in 2019.
| Provision | What it says | Practical effect |
|---|---|---|
| Cap. 438 s.9 and s.10 | The Commissioner General may issue and revoke practice notes, by numbered circular | The published, general view of TRA |
| Cap. 438 s.11(1) and (2) | On written application, a private or class ruling sets out the position on a tax law for an arrangement proposed or entered into | Covers planned and existing transactions |
| Cap. 438 s.11(4) | The ruling binds only on full and true disclosure, if the arrangement proceeds as described, and for the period stated | Disclosure is the price of certainty |
| Cap. 438 s.11(5) | A ruling binds the Commissioner General only towards the applicant or the class | A competitor's ruling does not help you |
| Cap. 438 s.11(6) | A ruling can be challenged only through a tax decision on the ruled arrangement | No direct objection to the ruling itself |
| Cap. 438 s.12 | Six grounds of refusal; reasons in writing | Timing and completeness matter |
| Cap. 438 s.13 and s.14 | Ruling issued by written notice; may be revoked in whole or part by notice | Certainty can end on notice |
| GN 101 of 2016, regs 22 to 28 | Prescribed form, contents, declaration, withdrawal, further information and assumptions | The application checklist |
| EACCMA s.248A (Act of 2019) | Commissioner rules on classification, origin or valuation within 30 days; valid up to 12 months; binds both sides | The customs advance ruling |
Section 2 of Cap. 438 applies the Act to Zanzibar only for tax laws that apply to both parts of the United Republic. Section 6 and the definition of "tax law" keep customs largely under the EAC Act.
What is a private ruling and when does it bind?
A private ruling is the Commissioner General's written position on how a tax law applies to one applicant's arrangement. Section 11 allows one ruling to cover several arrangements or several tax laws. It can address income tax, VAT, excise, stamp duty and other laws that TRA administers.
The binding effect is conditional. Section 11(4) sets three tests.
- Full and true disclosure. Before the ruling issues, the applicant must disclose all aspects of the arrangement, and the arrangement must then proceed as described in all material respects.
- A clear heading. The notice must state on its face that it is a private ruling or a class ruling.
- A stated period. The ruling binds from its date of issue for the period it specifies.
The ruling binds TRA, not the taxpayer. The Act says nothing that obliges the applicant to follow it. A taxpayer who disagrees may take a different filing position, but then carries the risk of an assessment.
The binding effect is personal. Section 11(5) limits it to the applicant or the specified class. A ruling given to another company, even in the same group, gives no protection. FB Attorneys (5 December 2022) read section 11 the same way and advise clients to apply where certainty matters.
When will the Commissioner General refuse a ruling?
Section 12(1) lists six grounds. Each one can be avoided with planning.
| Ground | What triggers it | How to avoid it |
|---|---|---|
| s.12(1)(a) | A tax decision has been made, or an audit or investigation covering the arrangement has started or been notified | Apply before the transaction is audited; do not wait for a query |
| s.12(1)(b) | An existing practice note already covers the arrangement | Check current practice notes first and explain why they do not settle the point |
| s.12(1)(c) | The application is frivolous or vexatious | Ask a real question with a real amount at stake |
| s.12(1)(d) | The arrangement has not been carried out and probably will not be | Show board papers, term sheets or draft contracts |
| s.12(1)(e) | The information given is not enough to rule | File the full fact pattern and documents under reg 24 |
| s.12(1)(f) | Ruling would take unreasonable resources | Frame narrow questions; split broad requests |
A refusal must be served in writing with reasons under section 12(2). The reasons often show what TRA would need to rule on a second application.
How do you apply for a TRA advance ruling?
Regulation 22 of GN 101 requires the application in the form set out in the Third Schedule. Regulation 24 sets the contents, and regulation 25 requires a declaration that the information is true and comprehensive.
- Applicant details: name, address and TIN. Section 13 requires the ruling itself to identify the applicant and the TIN.
- The arrangement: every relevant fact, document and circumstance, including parties, amounts, dates and steps.
- The law: the tax law and the provisions the applicant wants ruled on.
- The applicant's view: the proposed answer, with reasoning. TRA is not obliged to adopt it, but a reasoned position shortens the work.
- Assumptions: any future events assumed. Regulation 28 lets the Commissioner General make assumptions, but not about facts the applicant can supply.
The Commissioner General may ask for further information at any time under regulation 26. Regulation 23 lets the applicant withdraw by written notice.
Neither the Act nor GN 101 sets a deadline for the decision, and neither prints a fee. Our fee register has no line for a private ruling. Any charge TRA levies is assessed on filing and paid against a GePG control number. Budget time: build the decision period into the transaction timetable rather than assume a fixed answer date.
The ruling notice must state that it is issued under section 13. Under regulation 27 it states the tax law, how it applies, the period covered and the material assumptions. Read those assumptions closely, because a ruling binds only while they hold.
What about public rulings, practice notes and class rulings?
Cap. 438 does not use the term "public ruling". Two instruments do that work on the Mainland.
Practice notes. Section 9 lets the Commissioner General issue practice notes to promote consistent administration. Each note is a numbered circular with a subject heading and an effective date. Section 10 allows revocation, and a later Act or note overrides an inconsistent one. Section 61(2)(a) excludes decisions on practice notes from the objection route.
Class rulings. A class of persons may apply together for a ruling on a shared arrangement. Section 13(1)(b) requires a class ruling to be made publicly available. It must not reveal identities unless the applicant consents in writing. A trade association or a group of investors in the same sector can use it.
A practice note guides everyone but is not tailored to your facts. A private ruling is tailored to your facts but protects only you. When a practice note already answers the point, section 12(1)(b) lets TRA refuse a private ruling, so read the note first.
How do customs advance rulings work?
Customs is a Union matter governed by the EAC Customs Management Act, 2004 (EACCMA). Section 9 of the EAC Customs Management (Amendment) Act, 2019 inserted section 248A. A person intending to import goods may apply in writing to the Commissioner for a ruling on tariff classification, rules of origin or customs valuation.
- Time: the Commissioner rules, or gives reasons for not ruling, within 30 days of receiving sufficient information.
- Validity: up to 12 months.
- Binding effect: the ruling binds both the Commissioner and the applicant during that period.
The Tanzania Trade Portal advance ruling procedure describes TRA practice. Applications go to the Commissioner of Customs before the goods are imported. Importers, exporters, producers and manufacturers may apply, or any person with justifiable cause. The portal lists a 30-day decision period and 12-month validity, and states no fee.
The documents the portal asks for are detailed. They include composition, specifications, samples, certificates of analysis, the manufacturer's name, the sales contract, the proposed classification, origin or valuation method, and any related rulings. The applicant must also disclose pending matters before any agency, tribunal or court.
Valuation rulings need the same evidence as a valuation dispute. Our guide to customs valuation in Tanzania explains the transaction value method and related-party adjustments.
Can a ruling be withdrawn, revoked or challenged?
Four routes exist, and they work differently.
| Event | Who acts | Basis | Effect |
|---|---|---|---|
| Withdrawal of the application | Applicant, by written notice | GN 101 reg 23 | No ruling issues |
| Revocation of a private or class ruling | Commissioner General, by written notice | Cap. 438 s.14 | Ruling ends in whole or part; class revocations are published |
| Objection to a tax decision on the ruled arrangement | Taxpayer, within 30 days | Cap. 438 s.11(6), s.62; NEW-02-19 | The only route to challenge the ruling's content |
| Review of a customs decision | Importer, within 30 days | EACCMA s.229 | Commissioner decides within 30 days |
Section 14 does not say whether revocation reaches back to arrangements already carried out on the strength of the ruling. Treat that as unsettled. Keep the ruling, the disclosure file and the dates on record, and take an advocate's view if TRA revokes after the transaction closes.
A ruling cannot be appealed directly. Section 11(6) channels any challenge through a tax decision, such as an assessment. That decision is then objected to under section 62. The objection is admitted only on payment of the greater of the tax not in dispute or one third of the assessed tax (register NEW-02-19). Our guide to appealing a TRA assessment covers the deposit, the Board and the Tribunal.
For customs, the Court of Appeal in Lakairo Investment Limited v. Commissioner General, TRA (29 December 2023) held that the 30-day review period under section 229 is mandatory. The Commissioner's failure to reply in time did not save a late application.
How does Zanzibar handle rulings?
Zanzibar taxes are administered by the Zanzibar Revenue Authority, created by the Zanzibar Revenue Authority Act, 2022 in place of the former Board. Beako Law (7 March 2023) describes the change. Zanzibar VAT runs at 15% against 18% on the Mainland (register F0312).
The Tax Administration and Procedures Act No. 7 of 2009, consolidated 2025, governs Zanzibar procedure. In our reading it provides practice notes under sections 46A to 46C, binding the Commissioner until revoked. It also provides advance price agreements under section 53C, for up to two years with the Minister's approval. We found no private ruling provision equivalent to Cap. 438 section 11.
| Point | Mainland Tanzania | Zanzibar |
|---|---|---|
| Domestic taxes | TRA under Cap. 438 | ZRA under Act No. 7 of 2009 for Zanzibar VAT, hotel levy, stamp duty and other Zanzibar taxes |
| Union taxes such as income tax | TRA | TRA; Cap. 438 applies to laws that run in both parts (s.2) |
| Customs | TRA under EACCMA s.248A | TRA under EACCMA s.248A |
| Private ruling | Cap. 438 ss.11 to 14 | No equivalent provision found; ask ZRA in writing |
| General guidance | Practice notes, s.9 | Practice notes, ss.46A to 46C |
| Objection | 30 days, deposit (NEW-02-19) | 30 days, greater of undisputed tax or one third (s.21A) |
A Zanzibar hotel with an income tax question therefore applies to TRA. The same hotel with a Zanzibar VAT question writes to ZRA.
When is a ruling worth asking for?
A ruling costs time and requires disclosure. It earns its place when the amount is large, the law is unclear and the facts are settled.
| Situation | Typical question | Route |
|---|---|---|
| Restructuring or merger | Does a change in control or an asset transfer trigger tax? | Private ruling, Cap. 438 s.11 |
| Payment to a non-resident | Is a fee a service fee subject to 15% withholding (F0212)? | Private ruling |
| VAT treatment | Is the supply exempt, zero-rated or standard-rated at 18% (F0239)? | Private ruling |
| Related-party pricing | Is a cost-sharing or management charge deductible? | Private ruling, alongside transfer pricing documentation |
| Imports | Which EAC CET band applies: 10% or 25% (F0305, F0306)? | Customs advance ruling, EACCMA s.248A |
| Sector-wide issue | How a levy applies to all members of an association | Class ruling |
A ruling does not replace transfer pricing documentation. Our guide to transfer pricing and related-party compliance sets out what TRA expects on file. The transfer pricing penalty is the higher of 30% of the adjustment or 100% of the tax shortfall (NEW-02-12).
Alexander Mapunda of Deloitte, writing in The Citizen (27 July 2023), describes rulings as a way to reduce disputes over interpretation. That matches the design of section 11.
Worked example: a TZS 3 billion fee to a foreign engineering firm and a disputed tariff line
Pwani Agro Processing Ltd is a hypothetical Dar es Salaam company. It plans two things in 2027. First, it will pay a non-resident engineering firm TZS 3,000,000,000 for plant design work done outside Tanzania. Second, it will import processing equipment parts worth TZS 1,200,000,000 a year at CIF value.
Part one: the withholding question. The board's view is that no withholding applies because the work is done abroad. TRA may treat the payment as a service fee subject to 15% non-resident withholding (F0212). The tax at stake is TZS 450,000,000.
If the company does not withhold and TRA assesses two years later, the exposure is roughly as follows.
- Withholding tax: TZS 450,000,000.
- Interest at the statutory rate of 8.75%, compounded monthly for 24 months: about TZS 85,700,000 (NEW-02-08, NEW-02-09).
- A possible shortfall penalty of 50% where TRA finds no reasonable excuse: up to TZS 225,000,000 (NEW-02-11).
- Objection deposit, one third of the assessed tax: TZS 150,000,000, paid within 30 days to keep the objection alive (NEW-02-19).
Before penalties, that is about TZS 535,700,000. With a full 50% penalty it is about TZS 760,700,000. The deposit is cash out on top of the timing cost of a dispute, before any Board filing fees (NEW-02-20).
A private ruling filed in, say, January 2027, before the contract is signed, changes the position. If TRA rules that no withholding applies, it is bound on full disclosure. If TRA rules the other way, the company can gross up the fee, renegotiate or withhold, before any money moves.
Part two: the tariff question. The supplier classifies the parts in a 10% band (F0305). A customs officer may see them as finished goods in the 25% band (F0306). The difference is 15% of TZS 1,200,000,000, or TZS 180,000,000 in duty a year. Over three years of imports that is TZS 540,000,000, before VAT effects and any post-clearance demand. A section 248A ruling, issued within 30 days of a complete file, fixes the band for up to 12 months.
The cost side. No government fee for either ruling is published. Zatra's professional fee for preparing the files is quoted separately. Against TZS 450 million and TZS 180 million a year, the decision to apply is not close.
What to do now
- Write down the question. State the arrangement, the tax law and the amount at stake in one page.
- Check practice notes and existing rulings. A current practice note may answer the point, and section 12(1)(b) lets TRA refuse if it does.
- Fix the facts. Settle term sheets, draft contracts and the step plan so that the arrangement will proceed as described.
- Prepare the application. Use the GN 101 Third Schedule form, attach every relevant document and state your proposed answer.
- For goods, file with Customs. Send samples, specifications and the proposed classification, origin or valuation method before shipment.
- Build the timetable around the ruling. Make closing or first shipment conditional on the ruling where possible.
- Follow the ruling and keep the file. Store the notice, the disclosure pack and proof that the deal proceeded as described.
- Diary expiry and review. Renew a customs ruling before 12 months end, and check private rulings against Finance Act changes each July.
Key dates and deadlines
| When | What | Basis |
|---|---|---|
| Before the arrangement is audited or decided | File the private ruling application | Cap. 438 s.12(1)(a) |
| Before goods are imported | File the customs advance ruling application | EACCMA s.248A; Trade Portal procedure |
| Within 30 days of sufficient information | Customs ruling, or reasons for not ruling | EACCMA s.248A |
| Up to 12 months from issue | Customs ruling validity | EACCMA s.248A |
| Period stated in the notice | Private ruling binding period | Cap. 438 s.11(4)(c) |
| Within 30 days of service of a tax decision | Objection, with the deposit | Cap. 438 s.62; NEW-02-19 |
| Within 30 days of a customs decision | Application for review | EACCMA s.229 |
| 1 July each year | Finance Act changes that may override a ruling | Annual Finance Act |
Our guide to TRA tax audits and disputes covers what happens once an audit opens, after which a ruling may be refused.
How Zatra helps
Zatra's tax advisory and planning service frames the question, builds the disclosure pack and drafts the application under GN 101. For goods, our import and export compliance service prepares the customs file. If TRA assesses later, our audit and dispute service manages the objection.
Costs come in two separate buckets. Government fees and any TRA charge are paid at the official rate against a GePG control number. Zatra's professional fee is quoted on its own line and never mixed with them.
The Commissioner General and the Commissioner of Customs decide every application. Zatra prepares and coordinates, but does not decide or guarantee any authority's outcome. Formal legal opinions, representation before the Board or Tribunal, and challenges to a revocation go to an advocate.

Frequently asked questions
Is a TRA private ruling binding on the taxpayer?
No. Section 11 of Cap. 438 makes a ruling binding on the Commissioner General, not on the applicant. A taxpayer may file on a different basis, but then risks an assessment, interest and penalties. A customs ruling under EACCMA section 248A is different and binds both sides.
Can I rely on a ruling another company received?
No. Section 11(5) limits the binding effect to the applicant or the specified class. Another company's ruling may show how TRA thinks, but it gives you no protection. Apply in your own name, or join a class application where the issue is shared across a sector.
Can I apply for a ruling during a TRA audit?
You can apply, but section 12(1)(a) lets the Commissioner General refuse where an audit or investigation covering the arrangement has started or been notified. Apply before the transaction is examined. Once an audit is open, the dispute route under sections 61 to 64 is the realistic path.
How long does a customs advance ruling take?
Section 248A of the EAC Customs Management Act requires the Commissioner to rule, or give reasons for not ruling, within 30 days of receiving sufficient information. The clock starts only when the file is complete, so send samples, specifications and the sales contract with the first application.
What happens if the facts change after the ruling?
The ruling stops protecting you. Section 11(4)(a) makes it binding only if the arrangement proceeds as described in all material respects. If the price, parties or steps change, apply for a fresh ruling or confirm in writing with TRA that the change is not material.
Does a Finance Act change cancel my ruling?
A ruling states the law it applies and the period it covers. If Parliament amends that law, the ruling may no longer reflect the law in force. Review every ruling against the Finance Act each July and ask TRA to confirm or reissue where the amended section is relevant.
Can ZRA issue a private ruling on Zanzibar VAT?
The consolidated Zanzibar Act No. 7 of 2009 provides practice notes and advance price agreements, but we found no private ruling provision. Write to ZRA with the facts and ask for its position. For income tax and customs in Zanzibar, apply to TRA, which administers those Union taxes.
Is there a TRA fee for a private ruling?
Neither Cap. 438 nor GN 101 prints a fee, and our fee register has no line for one. If TRA levies a charge, it is assessed on filing and paid against a GePG control number. Zatra's professional fee for preparing the application is always quoted separately.
