How should a foreign investor evidence share capital coming into Tanzania? Send it through a licensed bank, to the company’s account, with a narration the bank and the share register can both read: subscriber, amount, and that it is share capital. Keep the inward SWIFT, the bank credit advice, the board allotment and the BRELA filing that records the shares. Cash in a director’s briefcase is not evidence. CDD on the investor — identity, address, source of funds and the corporate chain — is part of elapsed time. Confirm the bank and BRELA ORS on the day you allot.

Who this is for — and the jurisdiction
Foreign subscribers wiring the first capital or a later increase. This page is Mainland-first. Zanzibar has its own registrar (BPRA), revenue authority, investment authority (ZIPA), labour and land systems. Income tax, customs and excise are Union matters and generally carry across; VAT, licensing and company registration do not. A Mainland filing is not a Zanzibar approval.
Is this activity open to non-citizens?
Bringing capital does not authorise a reserved activity. Screen GN 487A before you wire. Local incorporation does not cure a reservation.
The pain point
Money arrives as “directors’ support” or a personal deposit. Two years later the bank will not repatriate a dividend because it cannot see the capital. The repair is a proper allotment now, or a reconstruction with tax advice later.

The sequence
Read the order as logic, not as a promised calendar. Customer due diligence at the bank, at the registry and at any adviser is part of elapsed time: identity documents, proof of address, source of funds, beneficial ownership, and for a corporate shareholder its own ownership chain. That is not the same file as BRELA beneficial-ownership disclosure.

- Wire with a clean narration — Subscriber name matching the BRELA form.
- Allot and file — Board minutes, share certificates if you use them, BRELA update.

A worked scenario
A UAE subscriber wires TZS-equivalent capital for 1,000 shares. The bank credits the company account. The board allots the same day. BRELA is updated in the next ORS window. Eighteen months later the dividend pack already contains the inbound evidence. That is the point of doing it once.

Must capital arrive before incorporation?
Practice varies by bank and by whether the company already exists. Confirm the bank. Do not treat a blog as a statutory pre-incorporation deposit rule.
Can I capitalise a shareholder loan later?
Yes as a corporate act, with tax and BRELA consequences. It is not automatic.
USD inflow into a TZS account?
The bank converts under its live process. Keep the SWIFT either way.
