ERB Firm Registration in Tanzania: Who Holds the Shares Decides

ERB Firm Registration in Tanzania? The Engineers Registration Board holds the mandate under the Engineers Registration Act Cap. 63, and it keeps two registers: one of engineers, one of firms. A company incorporated at BRELA may not sell engineering design, supervision or certification until the Board enters it on the firms register and issues a current practising licence. The test is control: who holds the equity, and which grade of registered engineer stands behind the practice. The usual stall is a cap table allotted to non-engineers before anyone reads the Board’s requirements. Confirm live categories, forms and fees on erb.go.tz.
This page is the ERB firm registration operating file: what the Board tests before a company may sell engineering services on the Mainland. It is not a contractor-classification manual, and it is not a substitute for the Board’s published requirements.
- Incorporating first: BRELA sequence and documents
- Name versus entity: business name registration
- What the registrar wants on file: business plan at registration
- Choosing an adviser: consulting firms in Dar es Salaam
As at 14 September 2026. Categories, forms and fee schedules are revised by the Board without an Act amendment; erb.go.tz is the record this file defers to, alongside Cap. 63 and the Companies Act Cap. 212.
Two registers, and a company sits on neither by default
The Engineers Registration Board is a statutory body established by Cap. 63, and its registers run in two columns. One holds people: Graduate Engineer, Professional Engineer, Consulting Engineer, and temporary entries for a non-resident engineer on a named project. The other holds firms. Incorporation puts a company on the BRELA record and nowhere else.
A promoter can hold a certificate of incorporation, a TIN, a VAT certificate and a trading licence, and still be barred from offering design, supervision or certification. Trading through an unregistered practice is rarely deliberate. It surfaces when a procuring entity asks for the firm certificate at tender, or when an insurer declines a claim because the certifying practice was absent from the Board’s list.
Mainland and Zanzibar part company here. Professional registration is not a Union matter; island companies are registered at BPRA rather than BRELA, and indirect tax on island supplies is administered by ZRA while income tax stays with TRA. Put the coverage question to the Board in writing before signing an island contract.
Control of the practice is the real test
Two gates apply before any non-citizen shareholding is fixed. The reserved-activity list at GN No. 487A of 2025 says which activities are closed or conditioned for non-citizens; read it against the service the company will invoice, not the sector label on the memorandum. Separately, and more often decisive, the Board’s split between a local engineering consulting firm and a foreign one turns on who controls the practice.
What ERB inspects is the share register and the grade of the engineers inside the business. The proportion of equity reserved to those on its own roll, and their grade and number, sit in the Board’s current requirements. Read them before allotment. Unwinding shares later means a transfer instrument, a fresh filing at the registrar, a stamp-duty question, and weeks lost while a tender deadline passes.
Objects clauses matter less than promoters assume; the responsible engineer matters more. Name that person in a board resolution and treat a resignation as a registration event: the business otherwise trades on an empty chair until a replacement is entered.
Which register the work falls into
Design is one mandate, execution another, and a company doing both needs both entries.
| What the business sells | Register that decides | Instrument | Common stall |
|---|---|---|---|
| Design, supervision and certification of works | ERB firms register, local consulting entry | Engineers Registration Act | Equity allotted to non-engineers |
| Execution of works under a building contract | Contractors Registration Board, by class | Contractors Registration Act | Engineering entry treated as site cover |
| Architecture or quantity surveying | Architects and Quantity Surveyors Registration Board | Architects and Quantity Surveyors (Registration) Act | All three disciplines on one certificate |
| Design and build under a single contract | ERB and CRB together | Both Acts | Bidding on one entry only |
| A named project run by a non-resident practice | ERB foreign entry, tied to that project | Engineers Registration Act | Relying on the local partner’s certificate |
The certificate and the licence are different documents
Two papers leave the Board and they do different work. The registration certificate records the entry. The practising licence is the annual permission to trade on it, renewed yearly and conditioned on the continuing professional development record of the engineers behind it.
Tender committees read the licence date. An old entry paired with a lapsed licence is a failed eligibility check. Diarise renewal against the Board’s published window rather than the anniversary on the certificate, and confirm the credit requirement and current fee before it opens.
The order the desks actually take
- Fix the practice class first. Design, execution, or both. That sets which board you stand in front of and constrains the equity you can offer an investor.
- Register the engineers before the firm. People are entered first; an application with nobody on the roll behind it has nothing to rest on.
- Incorporate at BRELA under the Companies Act Cap. 212: memorandum and articles, particulars of directors and secretary, registered-office notice, and beneficial-ownership particulars.
- Open the tax file at TRA: taxpayer identification for the company and each director, then value-added tax registration.
- Take the trading licence under the Business Licensing Act Cap. 208, from the ministry responsible for trade or the local government authority, depending on the class you fall into.
- Lodge the firm application on the Board’s current form with the incorporation set, engineers’ papers, the share register, the office lease and the indemnity cover note.
- Accept the inspection. A reception desk borrowed from an advocate’s chambers, with no drawing office and no staff, is a finding.
- Collect both papers, then sign. Engineering contracts executed before this point are exposure, not achievement.
What the application pack holds
Assemble it as one file; incomplete submissions are returned, and each return costs a cycle.
- Certificate of incorporation with certified memorandum and articles whose objects match the practice being sold
- A current registrar’s extract showing directors, secretary and shareholders, plus beneficial-ownership particulars as filed, and the allotment return proving control
- Registration certificates and current licences for every engineer named, with curricula vitae and academic transcripts
- The board resolution appointing the responsible engineer, and an employment contract showing the role is full-time
- Taxpayer identification, VAT certificate, tax clearance from TRA, the trading licence, and the lease for the office the Board may visit
- Professional indemnity cover note from an insurer licensed by TIRA
Non-resident practices and non-resident engineers
A practice incorporated abroad does not join the local column by opening a branch. The foreign route is project-shaped: a named Tanzanian job with an award letter or executed contract behind it, an association or joint-venture agreement with a firm already on the local register, home-jurisdiction credentials, and a duration matched to the works.
The individual follows the same order. Temporary registration comes before the employment file. A Class B work permit from the Labour Commissioner under the Non-Citizens (Employment Regulation) Act, and the residence permit under the Immigration Act Cap. 54, both expect evidence that the professional body has accepted the applicant. Packs reaching that desk without it come back, often after a ticket is bought.
Tax tracks the project too. A non-resident firm paid for services performed here meets withholding at 15% under the Income Tax Act Cap. 332. Work long enough to create a permanent establishment moves it into filing as a resident entity on the 30% corporate rate. That threshold sits in the Act and in any double-taxation agreement with the home state; price the fee after reading both.
What the firm meets at TRA once it invoices
Engineering consultancy is a professional service. The VAT Act Cap. 148 treats such a supplier as registrable without waiting for the TZS 200 million annual turnover threshold that governs trade generally, and the standard rate is 18%. Returns and payment fall due on the twentieth day of the month after the tax period. Confirm the live schedule on tra.go.tz.
Illustrative arithmetic, not a quotation. A registered local practice invoices a Dar es Salaam developer TZS 180,000,000 for structural design and site supervision on a warehouse.
- Output tax at 18% adds TZS 32,400,000, so the invoice reads TZS 212,400,000
- The developer withholds 5% on the service fee under Cap. 332 (TZS 9,000,000), and remits it. Cash received is TZS 203,400,000, and the withholding certificate carries the credit
- Service levy at 0.3% of turnover under the Local Government Finance Act Cap. 290 is TZS 540,000 on that contract, paid quarterly to the council
- Corporate tax runs on provisional instalments due on the last day of the third, sixth, ninth and twelfth months of the accounting period
Subcontract a geotechnical review to a non-resident specialist for USD 20,000 and the withholding is USD 3,000. The bank wants that certificate in the transfer file before releasing the balance, so the tax step belongs in the contract, not the payment week.
Payroll arrives with the first engineer on the books: pay-as-you-earn remitted within seven days after month end; social security at 20% of the wage under the National Social Security Fund Act Cap. 50, split evenly between employer and employee; a Workers Compensation Fund contribution at 0.5% of gross monthly earnings for a private employer; and Skills and Development Levy at 3.5% of emoluments once the headcount threshold is crossed.
Where this file stalls
- An off-the-shelf shareholding is incorporated, work is won, and the control test surfaces only when a tender asks for the firm certificate
- Directors hold Professional Engineer status but the entry needs a Consulting Engineer; grade blocks the application, not headcount
- The certificate is valid and the annual licence lapsed; the bid fails on a date, not on merit
- A non-resident practice signs first and applies second, leaving the client unable to pay an unregistered supplier cleanly
- Design-and-build is tendered on the engineering entry alone, with no contractor class
- The responsible engineer left months ago, the file still shows the name, and the inspection does not
What has moved
Three things reward re-reading rather than recall. GN No. 487A of 2025 changed what a non-citizen may hold in several service lines, so check the activity itself. Beneficial ownership now forms part of what the company register expects, and a submission contradicting the registrar invites a question nobody wants at inspection stage. Finance Acts move thresholds, levies and withholding rows annually while leaving mandates untouched. Board schedules and forms change by administrative revision; last year’s version is discovery.
Desks this file does not replace
ERB owns the two rolls and the annual licence. BRELA owns the company record and beneficial ownership. CRB owns contractor classes, and AQRB owns architecture and quantity surveying. TRA owns identification, indirect tax, withholding and clearance; the council owns the service levy and its half of licensing. The Labour Commissioner and Immigration own permits, and TIRA licenses the insurer standing behind your indemnity cover. Procuring entities own tender eligibility. Zatra prepares, structures and coordinates; it does not practise engineering, law or audit, and cannot issue a certificate or promise an outcome.
What to confirm before you act
- Current firm categories, the equity reserved to registered engineers, and the grade required of the responsible engineer
- Whether the activity you will invoice sits on the reserved list, read against the service and not the sector
- Which board the work belongs to, and whether the contract needs two entries
- The renewal window, the professional development condition and the fee for the annual licence
- For an island project, whether a Mainland entry is recognised and which authority takes the indirect tax
- Withholding on every cross-border fee before the price is agreed
Frequently asked questions
Can a company sell engineering services before ERB registers it?
No. Incorporation creates the entity; it does not create a right to practise. Design, supervision and certification wait for the firms entry and a live annual licence.
Does an ERB certificate allow the firm to build?
No. Site execution belongs to CRB and its classes. A design-and-build award needs both registrations, and public tenders test for them at eligibility stage rather than at award.
Must shareholders be registered engineers?
For a local consulting entry the Board tests control by people on its roll, weighing equity and professional grade together. The exact proportion appears in its published requirements. Read that before any allotment.
How does a firm from outside Tanzania register?
By the project-tied foreign route: a specific award or contract, a partnership with a practice already registered here, home-country credentials, and validity matched to the works rather than a calendar year.
Is the registration certificate enough for a tender?
Rarely. Committees check the practising licence and its expiry. A sound entry paired with an expired licence fails eligibility, and clarification will not usually rescue the bid.
Does a Mainland entry cover a Zanzibar project?
Do not assume it does. Registration of professions falls outside Union matters, island entities are registered by BPRA, and the islands run their own indirect-tax administration. Get written confirmation.
What does Zatra charge for this?
Fees appear only on /pricing/, listed separately from government, regulator and insurer charges. Zatra coordinates the pack and the sequence; the Board alone decides the entry, and no outcome is promised.
