A Licence for a Now-Reserved Activity: What Happens at Renewal

Will the licensing desk renew a permission in an activity the 2025 Order closed? No. GN No. 487A of 2025, made under the Business Licensing Act Cap. 208 and in force from 28 July 2025, names fifteen activities shut to non-citizens and saves an existing holder only to the expiry printed on its certificate. Renewal is a fresh decision (BRELA on Category A files, the council on Category B), and the officer reads shareholding against the Schedule before any fee is quoted. Count the months left on the certificate and choose a route while term remains.
This page is the reserved-activity renewal operating file: what a foreign-owned holder of a live trading permission can still do with it, and by when. It is not an appeal manual and not a company-sale checklist.
- The renewal mechanics themselves: keeping authority continuous
- Which activities are closed: the reserved list
- Two files across the Union: Mainland and island consultancy
- Who does what on the file: consultants and their limits
As at 15 September 2026. Take the live Schedule, and the current reading of your class, from the ministry’s licensing desk; this file rests on Cap. 208 with its Regulations and 2025 Order, the Tanzania Citizenship Act Cap. 357 and the Companies Act Cap. 212.
A saved licence is a clock, not a right
The Business Licensing (Prohibition of Business Activities for Non-Citizens) Order, 2025 did not shut businesses already trading when it commenced. It carries a savings arrangement: a non-citizen holding a valid permission in a closed class trades on until the date on the face of that document, and no application to extend it succeeds. That date was set by whichever officer last signed, long before the Schedule existed, so two competitors in one trade can sit eleven months apart.
The reserving power belongs to the Minister, and a clerk cannot reissue in a class the Minister has closed. The remaining term is the only asset the savings give you; spend it on a decision, not on correspondence.
Category A is where a foreign-owned renewal lands
Any business in which a non-citizen holds shares, or a foreign company trading on a certificate of compliance, is a Category A file issued by BRELA through the Online Registration System. Councils keep Category B for citizen-owned trades in their own area, and a trade officer who sees foreign shareholding on the extract refuses the form and sends it to Dar es Salaam. A company that admitted a foreign shareholder mid-term meets the Schedule at a counter it has only just reached.
Who counts as a non-citizen is read with Cap. 357, not with the place of incorporation. The desk looks through a locally registered company to the people behind the shares, using the BRELA extract and the beneficial-ownership particulars filed under Cap. 212. The instrument states no threshold, so the weight given to a minority holding is the officer’s reading of control.
Zanzibar runs a separate clock
Trade licensing is not a Union matter. The 2025 Order is a Mainland instrument made under a Mainland Act, so a permission issued on Unguja or Pemba neither expires nor survives by reference to it. Island trade registers at BPRA, clears ZIPA where relevant under the Zanzibar Investment Promotion and Protection Act, 2018, and is licensed by the island ministry.
That cuts both ways: a refusal in Dar es Salaam does not close an island branch, and an island licence authorises nothing in a Mainland warehouse. Income tax and customs stay with TRA across the Union; ZRA administers value added tax on the islands.
What the expiry date takes with it
The company survives. Incorporation under Cap. 212, the TIN, the bank account and every signed contract are untouched; what stops is the right to carry on that activity at that premises, and the chain attached to it. Fiscal devices are registered against a licensed trader, so receipting afterwards is a second offence rather than evidence of good faith. Residence Permit Class A under the Immigration Act Cap. 54 is granted to a person investing in or managing a named business, and weakens once that business cannot be licensed.
Mid-term amendment is the trap nobody prices. Adding an activity, moving premises or changing class on a live permission is a new application measured against the current Schedule, not an administrative correction. A holder with eighteen months left can lose the term in a fortnight by applying to widen the wording.
Four routes out, priced against one date
| Route | What the desk decides | Needed before the date | How it fails |
|---|---|---|---|
| Lodge the renewal unchanged | Whether the activity sits in the Schedule | Nothing: the answer is already printed | Refusal read as a queueing problem, then re-lodged |
| Move to a class the Schedule leaves open | Whether the new class describes the real trade | Amended objects at BRELA, premises and stock that match | Only the paper changes while the shelves stay identical |
| Rely on a named exclusion | Whether your format answers to the excluded description | Floor, product range or producer-supply evidence, in writing | Asserted in a covering letter instead of shown to the officer |
| Transfer the trade to a citizen-owned company | Whether the applicant is genuinely the trader | Sale agreement, lease assignment, fresh TIN, devices, staff | Money and mandate stay abroad, so the buyer is a front |
| Trade out the term and close | Nothing at the licensing counter | Stock run-down, VAT deregistration, final returns, strike-off | A dormant shell left registered with returns unfiled |
The routes are not equally reversible. Closing can be restarted; a transfer to a nominee cannot, because the register now names somebody else as owner and the beneficial-ownership filing tells the bank so.
The sequence, counted backwards from expiry
- Read the date off the certificate and diarise it as a hard stop, not as a renewal prompt.
- Test the licensed wording against the Schedule word by word: the printed class governs, not the trade you describe in conversation.
- Establish how the desk weighs your shareholding under Cap. 357, in writing, before any transfer is drafted.
- Choose the route with at least six months left; a decision taken in the final weeks has no time to produce documents.
- Move the register first: objects, shareholding and beneficial-ownership particulars at BRELA, because the extract is what the officer reads.
- Clear TRA before lodging: outstanding returns filed, instalments paid, tax clearance issued with its verification code.
- Lodge Form TFN 211 in the correct category, per premises, with shareholding disclosed on the face of the application.
- Reprice the chain: lease, devices, permits, insurance and bank mandate, onto whoever now holds the permission.
Papers the counter matches at this renewal
The expiring certificate itself, class and premises legible. Form TFN 211 per place of business. Certificate of incorporation or compliance, with the memorandum and articles opened at the objects clause. A current BRELA extract showing shareholders, and the beneficial-ownership particulars behind it. TIN certificate, the VAT certificate where registration happened, and the tax clearance carrying the code the desk verifies. Lease or title extract in the company’s own name, its landlord matching the rent invoice. Passports with Residence Permit Class A for foreign directors. Fire and Rescue Force certificate, OSHA registration, and the sector licence wherever a regulator owns the product. Where the trade is moving, the buyer’s own set as well.
Illustrative arithmetic on eighteen remaining months
Illustrative arithmetic, not a quotation. A foreign-owned company holds a Category A permission in a closed class, expiring 31 March 2028. Net sales run at TZS 150,000,000 a month, so roughly TZS 2,700,000,000 of turnover is still lawfully available. Service levy at the 0.3% ceiling under the Local Government Finance Act Cap. 290 takes TZS 8,100,000, billed quarterly by the council. On a 6% net margin the period yields TZS 162,000,000 of profit, and corporate tax at 30% under the Income Tax Act Cap. 332 takes TZS 48,600,000, paid through provisional instalments on the last day of the third, sixth, ninth and twelfth months.
Stock is where the date bites. Carry TZS 400,000,000 at cost into the final week, clear it at 75% of cost, and the closing sale realises TZS 300,000,000: a write-down of TZS 100,000,000 that no relief returns in full. On a ninety-day buying cycle, the last order capable of selling through must leave the supplier around the end of December 2027: the real deadline the calendar hides.
Set that against trading one month past the date. That month earns TZS 9,000,000. The Order answers with a minimum fine of TZS 10 million, up to six months’ imprisonment, a closure order and an immigration question.
Where this renewal stalls
- The file is opened in the last fortnight, so the refusal arrives with no term left to work in.
- The printed class is wider than the actual trade, and the officer reads the wider words.
- Shares are transferred after the application went in, so the extract and the form contradict each other.
- TRA declines the clearance over one unfiled return, so the file never reaches the Schedule question.
- A director’s residence permit lapses first, collapsing the immigration position ahead of the licence.
- Trading continues on the strength of a lodged form, which is a receipt, not permission.
What moved on 28 July 2025
The power to reserve trades for citizens is old; Cap. 208 began life as Act No. 25 of 1972. What arrived last year was a printed list of fifteen activities, a penalty reaching the citizen who lends a name as well as the non-citizen who trades, and the savings arrangement behind this page. Refusals once rested on practice and could be argued in general terms; the argument is now about which line of the Schedule your class occupies.
Two administrative changes matter at the counter. Tax clearance issues electronically through TRA’s Taxpayer Portal with a code the officer checks, so an older scan is visibly stale. Council charges move on GePG control numbers through the TAUSI revenue system. The Tanzania Investment Act, 2022 restated thresholds at USD 500,000 for a foreign investor and USD 50,000 for a citizen; neither figure buys permission in a reserved class.
Mandate-holders this file does not replace
The ministry responsible for industry and trade owns the Schedule and its reading. BRELA issues Category A on the ministry’s behalf and keeps the register; the council trade office issues Category B and bills the service levy whether or not a permission is current, because Cap. 290 charges turnover, not authority. TRA owns the TIN, clearance, value added tax, fiscal devices and instalments. Immigration and the Labour Commissioner own residence and work permits. BPRA, ZIPA and ZRA own the island equivalents. A share transfer, a sale of business or an appeal is signed by an advocate. Zatra prepares, structures and coordinates the file; it issues no licence, practises no law and promises no approval.
What to confirm before you act
- The exact date and class on the permission you hold, read off the certificate, not from memory.
- Whether that class appears in the current Schedule, including any amendment since commencement.
- How the licensing officer reads your ownership, on what evidence, and in writing.
- Which category the file belongs in once shareholding settles, and therefore which counter decides.
- That TRA will issue a clearance today, before the route or the buyer is chosen.
- The permit expiry dates behind the directors who manage the business.
- Zanzibar separately, if any part of the trade rests on the islands.
Frequently asked questions
Did my licence stop when the Order commenced?
No. A permission valid on that day runs to the date printed on it. What closed is the reissue afterwards, so the real question is how many trading months remain on the certificate.
Can I renew if foreign shareholding drops to a minority?
No percentage appears on the face of the Order, and the desk looks through the company to whoever controls it. Obtain the officer’s reading before drafting a transfer, not after the shares have moved.
What if I amend the licence during the saved term?
An amendment is decided as a fresh application against the live Schedule. Widening the wording, adding premises or changing class can end the remaining term at once. Leave it alone unless the change is the plan.
Can I sell the company with the permission attached?
The buyer inherits the remaining months, not a renewable permission. If ownership is unchanged, the same refusal arrives at the next cycle. Price the term, not the trade.
What is the exposure for trading after the date?
A fine of not less than TZS 10 million, imprisonment reaching six months, or both, with a closure order and the directors’ permits exposed alongside. A citizen fronting it faces up to TZS 5 million or three months.
Does any of this reach a Zanzibar branch?
No. The Order is made under a Mainland Act. An island business registers at BPRA, takes ZIPA approval where relevant, and is licensed under Zanzibar law. Confirm that on its own facts rather than assuming either answer.
Does the service levy stop when the permission lapses?
No. Cap. 290 charges turnover, so the council bills for trading already done and reconciles it against tax returns and audited accounts. Settle the levy account while closing, or the arrears follow the company.
